3 <br /> LEASE AGREEMENT <br /> THIS LEASE is made as of the Effective Date by and between Eno River Mill, LLC, a North <br /> Carolina limited liability company ("Landlord") and Orange County, a political subdivision of the State <br /> of North Carolina, ("Tenant"). <br /> Upon the terms and conditions hereinafter set forth, Landlord leases to Tenant, and Tenant leases <br /> from Landlord,the property referred to as the Demised Premises, all as follows: <br /> 1. Overview. <br /> (a) Tenant's Notice Address: Orange County <br /> County Manager's Office <br /> 300 W. Tryon Street <br /> Hillsborough,NC 27278 <br /> With a copy to: <br /> Katie Murray <br /> Arts Commission Director <br /> 405 Meadowlands Drive <br /> Hillsborough,NC 27278 <br /> (b) Landlord's Notice Address: Eno River Mill,LLC <br /> PO Box 12929 <br /> Raleigh,NC 27605 <br /> Attn: Jocelyn Wells <br /> (c) Demised Premises: Approximately 2,970 rentable square feet depicted on Exhibit A and <br /> to be known as Suite 27 and located on the ground floor of the Building, together with a nonexclusive <br /> right to use the Common Areas in accordance with the terms of this Lease. <br /> (d) Building: A combination of a three (3) story building known as the Spinning Room and a <br /> two (2) story building, known as the Card Room and with approximately 19,346 rentable square feet of <br /> ground floor space constructed on the Land as outlined in Exhibit A-1 attached hereto. <br /> (e) Land: That parcel of land described on Exhibit B attached hereto, and having a street <br /> address of 437 Dimmocks Mill Road,Hillsborough, Orange County,North Carolina. <br /> (f) Property: The Land and the buildings having the address of 437 Dimmocks Mill Road, <br /> Hillsborough,NC 27217. <br /> (g) Common Areas: Subject to this Lease, inclusive of the Rules and Regulations attached <br /> hereto (as the same may be amended and revised by Landlord), the areas within the Building and on the <br /> Property reserved for the common use and enjoyment of all tenants of the Building, including, but not <br /> limited to, corridors on multi-tenant floors, elevators, the first floor lobby, sidewalks, and the areas <br /> designated by Landlord for the parking of motor vehicles. <br /> (h) Term: The term of this Lease commences on the Effective Date and continues through <br /> the Rent Commencement Date and expiring, if not sooner terminated, on noon of the Expiration Date, <br /> unless renewed or extended to the extent provided in this Lease. <br /> OCAC Lease <br />
