First Call Environmental <br />PO Box 6035 <br />Ashland, VA 23005 <br />804-441-9764 <br />Initials: __________24-Hour Emergency Response <br />In the event that Customer fails to pay any Invoice and First Call pursues collection efforts, <br />Customer shall be liable for all costs and expenses, including reasonable attorney's fees <br />(collectively, the "Collection Costs"), incurred by First Call in pursuing collection. Customer <br />shall be responsible for Collection Costs even in the event First Call does not have to proceed to <br />trial. <br />The parties hereby agree to litigation in the Circuit Court of Hanover County, Virginia as the <br />appropriate manner and venue to resolve any disputes relating to or arising from this Agreement. <br />WAIVER OF JURY TRIAL. TO THE EXTENT PERMITTED BY LAW, THE PARTIES <br />WAIVE TRIAL BY JURY OF ANY ACTION ARISING OUT OF, OR IN CONNECTION <br />WITH, THIS AGREEMENT. <br />5.TERM/TERMINATION. This Agreement shall terminate automatically upon completion by <br />First Call of the Services required by this Agreement and First Call shall have no obligation to <br />perform any additional services for the Customer under this Agreement. <br />6.RELATIONSHIP OF PARTIES. It is understood by the parties that First Call is an <br />independent contractor with respect to the Customer, and not an employee of the Customer. The <br />Customer will not provide fringe benefits, including health insurance benefits, paid vacation, or <br />any other employee benefit, for the benefit of First Call. <br />7.EMPLOYEES. First Call's employees, if any, who perform services for the Customer under <br />this Agreement shall also be bound by the provisions of this Agreement. <br />8.INJURIES. First Call acknowledges First Call's obligation to obtain appropriate insurance <br />coverage for the benefit of First Call (and First Call's employees, if any). First Call waives any <br />rights to recovery from the Customer for any injuries that First Call (and/or First Call's <br />employees) may sustain while performing services under this Agreement and that are a result of <br />the negligence of First Call or First Call's employees. <br />9.CONFIDENTIALITY.
