Revised 08/24 <br />1 <br /> [Departmental Use Only] <br /> TITLE Housing/IFC <br /> FY 24-25 <br />NORTH CAROLINA <br /> SERVICES AGREEMENT NO RFP/RFQ <br /> <br />ORANGE COUNTY <br /> <br /> This Services Agreement (hereinafter “Agreement”), made and entered into this 14th day of <br />January, 2025, (“Effective Date”) by and between Orange County, North Carolina a political <br />subdivision of the State of North Carolina (hereinafter, the "County") and Inter-Faith Council, a <br />not-for-profit corporation Located at 110 W. Main Street Carrboro, North Carolina 27510, <br />(hereinafter, the "Provider"). <br /> <br />WITNESSETH: <br /> <br /> That the County and Provider, for the consideration herein named, do hereby agree as <br />follows: <br /> <br />1. Services <br /> <br />a. Scope of Work. <br /> <br />i) This Agreement is for services to be rendered by Provider to County with respect <br />to (insert type of project): Provider will provide services, as outlined in Exhibit <br />"A". <br /> <br />ii) By executing this Agreement, the Provider represents and agrees that Provider is <br />qualified to perform and fully capable of performing and providing the services <br />required or necessary under this Agreement in a fully competent, professional and <br />timely manner. <br /> <br />iii) Time is of the essence with respect to this Agreement. <br /> <br />iv) Provider will provide services, as outlined in the attached Scope of Services and <br />Program Budget and any amendments or revisions thereto which is attached as <br />Exhibit “A” and incorporated by reference, to the residents of Orange County. <br />The Scope of Services and the Program Budget may be different from the original <br />application based on County appropriation: however, any revisions or <br />amendments to this Agreement must be approved in writing by the County and <br />attached to this Agreement as Exhibit B. <br /> <br />v) The Provider shall be solely responsible for the means, methods, techniques, <br />sequence, safety program and procedures necessary to properly and fully <br />complete the work set forth in the Scope of Services. <br /> <br />2.
