If travel is <br />required, it must be approved by a Change Order prior to the time of travel. <br />Travel time will be billed at fifty percent (50%) of our standard hourly rates and is in addition to the estimated <br />Fees. <br />The Fees quoted in this Statement of Work will remain valid for sixty (60) days from the date of issuance. <br />In the event Client causes a delay to the engagement as result of Client rescheduling or cancelling a meeting <br />with less than two (2) full business days’ notice to RSM, Client agrees to pay Carahsoft the planned resources’ <br />hourly rates, plus any travel-related expenses incurred, for the planned meeting hours. To the extent Client <br />fails to provide RSM with information, documents or other material requested by the dates agreed upon, or <br />otherwise fails to perform its responsibilities within the deadlines agreed upon, and such failure results in a <br />delay to the engagement, Client agrees to pay Carahsoft the planned resources’ daily rates for each day of <br />such delay or failure, plus any travel-related expenses incurred. RSM will inform Client of any delay caused by <br />Client that results in such additional fees. <br />You acknowledge that this is our good faith estimate based upon our understanding of the engagement <br />assumptions and the facts and circumstances we are aware of at this time. If the basis of our estimates is <br />inaccurate, the Fees and Expenses may be different from those we each anticipate. If circumstances are <br />encountered that affect our ability to proceed according to the plan outlined above, such as, scope changes, <br />loss of key Client personnel, unavailable information, or unforeseen circumstances or circumstances beyond <br />our reasonable control, we will inform you promptly and seek your approval for any changes in scope, timing <br />or Fees that may result from such circumstances. <br />I.
