Revised 01/24 <br /> <br />NORTH CAROLINA <br />CONTRACT AMENDMENT <br />ORANGE COUNTY <br /> <br /> <br />THIS CONTRACT AMENDMENT (“Amendment”) is made and entered into this 20th day of November 2024 by and <br />between ORANGE COUNTY (hereinafter referred to as “County”) and Catalis Courts and Land Records, LLC <br />(hereinafter referred to as “Provider”). <br /> <br /> <br />WITNESSETH: <br /> <br />THAT WHEREAS, the County and Provider entered into a contract dated August 28, 2024 (hereinafter the “Original <br />Agreement”), for the provision of services for Licenses and technical support for AIMS application for the period of <br />8/1/2024 - 7/31/2026 for the Specialty Court and Diversion modules and the period of 5/1/2024 - 4/30/26 for the <br />Pretrial module; and <br /> <br />WHEREAS, the County and Provider desire to amend the Original Agreement while keeping in effect all terms and <br />conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. <br /> <br />NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to <br />amend the Original Agreement as follows: <br /> <br />1. Article 1, section a, sub-section (i) is replaced by the following: This Agreement is for services to be <br />rendered by Provider to county with respect to (insert type of project): Licenses and technical support for <br />AIMS application for the period of 8/1/2024 - 7/31/2026 for the Specialty Court module, for the <br />period of 12/1/2024 - 7/31/2026 for the Diversion module and for the period of 5/1/2024 - 4/30/26 <br />for the Pretrial module, with additional details provided in Appendix A. <br /> <br />2. Article 3, section a is replaced by the following: Basic Services. The Services to be rendered pursuant to <br />this agreement are as follows (fully describe services to be provided): Licenses and technical support for <br />AIMS application for the period of 8/1/2024 - 7/31/2026 for the Specialty Court module, for the <br />period of 12/1/2024 - 7/31/2026 for the Diversion module and for the period of 5/1/2024 - 4/30/26 <br />for the Pretrial module, with additional details provided in Appendix A. <br /> <br />3. Article 4, section a is replaced by the following: Term. The term of this Agreement shall be from May 1, <br />2024 to July 31, 2026. <br /> <br />4. Article 4, section b, sub-section (iii), is replaced by the following: The Commencement Date for the <br />Provider’s Basic Services shall be May 1, 2024. <br /> <br />5. Article 5, Section a is amended to reflect a maximum payable not-to-exceed amount of $68,926.21 as <br />follows: <br /> <br /> $38,399.13 to be paid between May 1, 2024 and July 31, 2025 – this corresponds to <br />o $16,000 one-time professional fee in Exhibit A plus <br />o $4,686.50 – this corresponds to AIMS-PreTrial amount in column “2024-2025” in Exhibit A <br />o $4,912.63 – this corresponds to Specialty Court amount in column “2024-2025” in Exhibit A <br />o $12,800.00 – this corresponds to the $19,200.00 Diversion amount in column “2024-2025” <br />in Exhibit A, pro-rated for 8 months of service (December 1, 2024 – July 31, 2025) <br /> $30,527.08 to be paid between May 1, 2025 and July 31, 2026 - this corresponds to column “2025- <br />2026” in Exhibit A <br />Docusign Envelope ID: 738C61A4-6CF4-448E-A887-B61889E1B569
