Revised 04/23 <br />4 <br />a. <br />Provider to County for multimodal planning, design, and engineering services on an as- <br />needed basis. Requests for services will be made by the County to the Provider in the <br />form of a Task Order. The Provider will then develop a detailed scope of work and fee <br />for each requested Task Order for approval by the County. Upon approval, the County <br />will issue a Notice to Proceed for the Provider to commence work on said Task Order. <br />Federal and State provisions are included in Exhibits A and B respectively. Exhibits A <br />and B are hereby incorporated into this contract by reference, and the State and Federal <br />requirements set forth in these attachments are hereby additionally incorporated in this <br />contract by reference as though fully set out here. <br /> <br />4. Duration of Services <br /> <br />a. Term. The term of this Agreement shall be from January 2, 2024 to December 31, <br />2024, The County may renew the Agreement annually. <br /> <br />b. Scheduling of Services. <br />i) The Provider shall schedule and perform its activities in a timely manner. <br /> <br />ii) Should the County determine that the Provider is behind schedule, it may require <br />the Provider to expedite and accelerate its efforts, including providing additional <br />resources and working overtime, as necessary, to perform its services in <br />accordance with the approved project schedule at no additional cost to the <br />County. <br /> <br />iii) The Commencement Date for the Provider's Basic Services shall be January 2, <br />2024. <br /> <br />5. Compensation <br /> <br />a. Compensation for Basic Services. The Consultant shall commence services within ten <br />(10) business days of award of Contract and shall complete services and submit all <br />deliverable items to the County no later than twelve (12) months after the Notice-to- <br />Proceed. It is expected that some of the tasks will be completed faster than others. <br />Contract will renew on annual bases (Contract Specific Change 12/20/23) <br /> <br />b. Compensation for Basic Services shall include all compensation due the Provider from <br />the County for all services satisfactorily (as determined by the County) performed <br />pursuant to this Agreement. The maximum budget for each task under this on-call <br />contract shall not exceed $90,000 in a financial year. The maximum budget of each task <br />scheduled over two financial years is $180,000. Individual tasks or projects exceeding <br />annual contract value require County Commissioner approval prior to commencing <br />work. There is no upper limit of total contract value under this contract. Payment for <br />satisfactorily performed Basic Services shall become due and payable within thirty (30) <br />days of Provider properly invoicing County. Payment shall be subject to provisions of <br />Section 5(b). (Contract Specific Change 12/20/23) <br /> <br />c. Disputes.
