Motorola Solutions Confidential Restricted Statement Of Work 1-10 1.10.2 Progress Milestone Submittal Motorola Responsibilities: • Submit progress (non-payment) milestone completion certificate/documentation. Orange County Responsibilities: • Approve milestone, which will signify confirmation of completion of the work associated with the scheduled task. Completion Criteria: • The Customer approval of the Milestone Completion document(s). 1.10.3 Change Order Process • Either Party may request changes within the general scope of this Agreement. If a requested change causes an increase or decrease in the cost, change in system configuration or adds time to the project’s timeline required to perform this Agreement, the Parties will agree to an equitable adjustment of the Contract Price, Performance Schedule, or both, and will reflect the adjustment in a change order. Neither Party is obligated to perform requested changes unless both Parties execute a written change order. MOTOROLA RESPONSIBILITIES Motorola’s general responsibilities include the following: • Perform the installation of the Motorola supplied equipment described above. • Schedule the implementation in agreement with Orange County. • Coordinate the activities of all Motorola subcontractors under this contract. • Administer safe work procedures for installation. • Provide Orange County with the appropriate system interconnect specifications. ORANGE COUNTY RESPONSIBILITIES Orange County will assume responsibility for the installation and performance of all other equipment and work necessary for completion of this project that is not provided by Motorola. Orange County general responsibilities include the following: • Provide all buildings, equipment shelters, and towers required for system installation • Ensure communications sites meet space, grounding, power, and connectivity requirements for the installation of all equipment. • Obtain all leases, licensing, site access, or permitting required for project implementation. • Obtain frequencies for project as required. • Customer will provide a dedicated delivery point, such as a warehouse, for receipt, inventory and storage of equipment prior to delivery to the site(s). • Coordinate the activities of all Orange County vendors or other contractors.
