55 <br /> EXHIBIT C <br /> Statement of Work: Hosting Set Up <br /> This document defines the implementation Services to be provided by TripSpark for Licensee as well as <br /> the roles and responsibilities of Licensee's staff and resources. Unless otherwise indicated, TripSpark will <br /> provide `standard' implementation Services (project management, operational review, testing, installation, <br /> training, etc.) as defined by TripSpark. Any services beyond what is defined in this document will be <br /> considered out of scope, and a change order outlining any additional costs will be required. Any <br /> additional costs uncovered from a change order will be the responsibility of the Licensee. All <br /> implementation Services, materials, and training will be provided in English,unless otherwise stated. <br /> Overview <br /> This implementation involves the following high-level tasks: <br /> 1. Project Management Services <br /> 2. Hosting Setup Services <br /> Software & Product List <br /> TripSpark will create hosted instances of the following Software: <br /> • NovusDR, DriverMate,Notifications, Passenger Portal & Rides on Demand <br /> Hosting Setup Services <br /> The TripSpark technical resource will: <br /> • Create the virtual machine and servers to facilitate the project <br /> • Create the required hosting user accounts and ensure users have appropriate access <br /> • Provide support during the Go-Live stage <br /> Licensee will: <br /> • Access and test the Software on the new server in preparation for Go-Live <br /> Timeline <br /> This project can typically be completed within six (6) to eight (8) weeks from kick off call. <br /> Assumptions <br /> The key assumptions that TripSpark has employed while determining the level of effort involved with this <br /> implementation are presented below: <br /> - This project assumes the software and databases are being migrated as-is, any software upgrades <br /> must occur prior to or after the services outlined in this scope of work <br /> - Licensee must provide TripSpark with remote access to servers as necessary <br /> - Licensee's Software environment has no customizations that will affect migration <br /> - TripSpark is providing a single production instance <br /> - Licensee must schedule required internal resources and personnel to be available to support the <br /> activities in the Detailed Scope section of the SOW <br /> - Pricing is based on a maximum of five (5)users accessing the products through individual logins, this is <br /> not five (5) concurrent users <br /> - Licensee is responsible for testing of the Software on the new server <br /> - Microsoft SQL will be used for the database <br />
