DocuSign Envelope ID:42768609-3F6E-4668-8792-E66DBE7E5727 <br /> 4 <br /> [Departmental Use Only] <br /> TITLE OCTS On-Call Service <br /> FY FY2024 <br /> NORTH CAROLINA <br /> SERVICES AGREEMENT NO RFP/RFQ <br /> (Contract Specific Changes 12/20/23, Not to used <br /> With other Contracts) <br /> ORANGE COUNTY <br /> This Services Agreement (hereinafter "Agreement"), made and entered into this 2 day of <br /> January, 2024, ("Effective Date") by and between Orange County, North Carolina a political <br /> subdivision of the State of North Carolina (hereinafter, the "County") and WSP, USA, <br /> (hereinafter, the "Provider"). <br /> WITNESSETH: <br /> That the County and Provider, for the consideration herein named, do hereby agree as <br /> follows: <br /> 1. Services <br /> a. Scope of Work. <br /> This agreement is for services to be rendered by Provider to County for transportation <br /> planning, design, and engineering services on an as-needed basis. Requests for <br /> services will be made by the County to the Provider in the form of a Task Order. The <br /> Provider will then develop a detailed scope of work and fee for each requested Task <br /> Order for approval by the County. Upon approval, the County will issue a Notice to <br /> Proceed for the Provider to commence work on said Task Order. (Contract Specific <br /> Change 12/20/23) <br /> Consultation services for the planning, design and engineering of Orange County <br /> transportation network. The transportation network focus is on multimobility <br /> (bike/ped, transit,vehicle, freight,and rail) and advance local, state and federal <br /> transportation priorities, Complete Street and Vision Zero policies, programs and <br /> plans. Detailed scopes of work shall be provided by the Consultant for each task <br /> order given by means of this on-call contract. (Contract Specific Change 12/20/23) <br /> Provider to County for multimodal planning, design, and engineering services on an <br /> as-needed basis. Requests for services will be made by the County to the Provider in <br /> the form of a Task Order. The Provider will then develop a detailed scope of work <br /> and fee for each requested Task Order for approval by the County. Upon approval, <br /> the County will issue a Notice to Proceed for the Provider to commence work on <br /> said Task Order. Federal and State provisions are included in Exhibits A and B <br /> respectively.
