Revised 01/24 <br /> <br />NORTH CAROLINA <br />SECOND CONTRACT AMENDMENT <br />ORANGE COUNTY <br /> <br /> <br />THIS CONTRACT AMENDMENT (“Second Amendment”) is made and entered into this 6th day of November, 2024 by <br />and between ORANGE COUNTY (hereinafter referred to as “County”) and University of North Carolina at Chapel <br />Hill (hereinafter referred to as “Provider”). <br /> <br />WITNESSETH: <br /> <br />THAT WHEREAS, the County and Provider entered into a contract dated December 1, 2023, (hereinafter the “Original <br />Agreement”), for the provision of services for support programs that serve persons with Opioid Use Disorder (OUD); and <br /> <br />WHEREAS, Client and Provider entered into the First Amendment to the Original Agreement effective May 20, 2024, <br />under which the terms and conditions of the Original Agreement were extended until December 31, 2024: and <br />WHEREAS, the County and Provider desire to amend the Original Agreement and the First Amendment while keeping in <br />effect all terms and conditions of the Original Agreement and First Amendment not inconsistent with the terms and <br />conditions set forth below. <br /> <br />NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to <br />amend the Original Agreement and First Amendment as follows: <br /> <br />1. In order to ensure the completion of the Services identified in the term of the Original Agreement is amended <br />to reflect an end date by which all Services shall be completed of June 30, 2025. <br /> <br />2. Exhibit A to the Original Agreement is amended by changing and adding the following tasks and services to <br />the Services to be provided by the Consultant: Metric reporting is due January 15, 2025 for July 1, 2024 through <br />December 31, 2024. No narrative is due at this time. Metric reporting is due July 30, 2025 for January 1, 2025 <br />through July 30, 2025. Narrative story is due July 30, 2025 for July 1, 2024 through June 30, 2025. <br /> <br />3. Article 3., Section a. is amended to reflect additional invoicing dates of October 15, 2024 for service period <br />July 1, 2024 through September 30, 2024 and January 15, 2025 for service period October 1, 2024 through <br />December 31, 2024 and April 15, 2025 for service period January 1, 2025 through March 31, 2025 and final <br />invoice due July 30, 2025 with final reporting for April 1, 2025 through June 30, 2025. <br /> <br />4. The Second Amendment shall supersede the First Amendment. In the event there is a conflict between the terms <br />of the First Amendment and the terms of the Second Amendment, the Second Amendment shall control. <br /> <br />5. Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent <br />it is not inconsistent with this Amendment.
