Revised 01/24 <br />1 <br /> [Departmental Use Only] <br /> TITLE ES_UPS Battery <br /> FY 24-25 <br />NORTH CAROLINA <br /> SERVICES AGREEMENT NO RFP/RFQ <br /> <br />ORANGE COUNTY <br /> <br /> This Services Agreement (hereinafter “Agreement”), made and entered into this 11th day of <br />October, 2024, (“Effective Date”) by and between Orange County, North Carolina a political <br />subdivision of the State of North Carolina (hereinafter, the "County") and DC Group, <br />(hereinafter, the "Provider"). <br /> <br />WITNESSETH: <br /> <br /> That the County and Provider, for the consideration herein named, do hereby agree as <br />follows: <br /> <br />1. Services <br /> <br />a. Scope of Work. <br /> <br />i) This Agreement is for services to be rendered by Provider to County with respect <br />to (insert type of project): Purchase and installation of (40)CSB HRL12280WFR or <br />equivalent batteries for the customer's 80 KVA. Eaton 9390 (Serial No <br />EB283CBA01). These batteries are being quoted for replacement as they have <br />exceeded their end-of-life age of four (4) years and will no longer be reliable in <br />maintaining the load. In addition, components that are beyond their end-of-life age <br />are not covered under contract and any emergency service related to failed <br />components beyond their end-of-life.age will be billable.These batteries are to be <br />installed by a DC Group certified UPS technician who is familiar with the operation <br />of the UPS and with UPS battery replacements. The batteries quoted here come with <br />a 4-year manufacturer's warranty. Also included in this quote is removal and <br />disposal of the spent batteries in compliance with EPA regulations. Freight is <br />estimated for quoting purposes only. Estimated here is standard dock-to-dock <br />delivery. Any special delivery requirements, such as expedited shipment, a lift gate, <br />or inside delivery will likely incur additional costs at the customer's expense. Please <br />see attached quote dated 10/07/24. <br /> <br />ii) By executing this Agreement, the Provider represents and agrees that Provider is <br />qualified to perform and fully capable of performing and providing the services <br />required or necessary under this Agreement in a fully competent, professional and <br />timely manner. <br /> <br />iii) Time is of the essence with respect to this Agreement. <br /> <br />iv) The services to be performed under this Agreement consist of Basic Services, as <br />described and designated in Section 3 hereof.
