If sent outside business hours of the addressee, <br />such notice, consent or other communication will be <br />deemed to have been duly given at the beginning of the <br />next Business Day. This Agreement shall <br />become effective when each Party hereto shall have <br />received an original, scanned or faxed counterpart hereof <br />signed by each other Party hereto. <br />9.15 Governing Law and Venue. <br />This Agreement has been executed and delivered in, and <br />shall be construed and enforced in accordance with, the <br />laws of North Carolina.
