Docusign Envelope ID:A05892FB-E22F-4F9D-8892-114F73CBF1B7 <br /> 17 <br /> 1.10.2 Progress Milestone Submittal <br /> Motorola Responsibilities: <br /> • Submit progress(non-payment)milestone completion certificate/documentation. <br /> Orange County Responsibilities: <br /> • Approve milestone,which will signify confirmation of completion of the work associated with <br /> the scheduled task. <br /> Completion Criteria: <br /> • The Customer approval of the Milestone Completion document(s). <br /> 1.10.3 Change Order Process <br /> • Either Party may request changes within the general scope of this Agreement. If a requested <br /> change causes an increase or decrease in the cost,change in system configuration or adds time to <br /> the project's timeline required to perform this Agreement,the Parties will agree to an equitable <br /> adjustment of the Contract Price,Performance Schedule, or both, and will reflect the adjustment <br /> in a change order.Neither Party is obligated to perform requested changes unless both Parties <br /> execute a written change order. <br /> 1 .11 MOTOROLA RESPONSIBILITIES <br /> Motorola's general responsibilities include the following: <br /> • Perform the installation of the Motorola supplied equipment described above. <br /> • Schedule the implementation in agreement with Orange County. <br /> • Coordinate the activities of all Motorola subcontractors under this contract. <br /> • Administer safe work procedures for installation. <br /> • Provide Orange County with the appropriate system interconnect specifications. <br /> 1 .12 ORANGE COUNTY RESPONSIBILITIES <br /> Orange County will assume responsibility for the installation and performance of all other equipment <br /> and work necessary for completion of this project that is not provided by Motorola. Orange County <br /> general responsibilities include the following: <br /> • Provide all buildings,equipment shelters,and towers required for system installation <br /> • Ensure communications sites meet space,grounding,power,and connectivity requirements for <br /> the installation of all equipment. <br /> • Obtain all leases,licensing,site access,or permitting required for project implementation. <br /> • Obtain frequencies for project as required. <br /> • Customer will provide a dedicated delivery point, such as a warehouse,for receipt,inventory and <br /> storage of equipment prior to delivery to the site(s). <br /> • Coordinate the activities of all Orange County vendors or other contractors. <br /> Orange County,North Carolina July 19,2024 <br /> VHF Paging System Upgrades Use or disclosure of this proposal is subject <br /> to the restrictions on the cover page. <br /> © Motorola Solutions Confidential Restricted Statement Of Work 1-10 <br />
