Management Agreement Between Jonathon Smith, County Extension <br /> Orange County, North Carolina, and Director, 919-245-2057 <br /> Piedmont Food Processing Center, Inc. <br /> PURPOSE: To consider approval of a new five-year management agreement with Piedmont Food <br /> Processing Center, Inc. <br /> BACKGROUND: The County is the owner of a food processing facility located at 500 Valley <br /> Forge Road, Hillsborough, NC 27278, that serves as an economic development incubator for food <br /> businesses. <br /> Piedmont Food Processing Center (PFPC) is a North Carolina Corporation providing <br /> management services to shared kitchens across the state. <br /> The proposed contract indicates the County's desire to engage PFPC, and PFPC desires to <br /> accept such engagement, to provide management services for the Facility on the terms and <br /> conditions set forth within the contract. <br /> The County and PFPC intend to work in mutual accord in order to ensure provision of high-quality <br /> management services, thereby enhancing the use and enjoyment of the Facility. <br /> The County entered into the first management services agreement with Piedmont Food <br /> Processing Center in 2021. The management services agreement approved in 2023 did not <br /> modify any of the provisions of the prior agreement. In response to concerns raised by the Board <br /> of Commissioners, Orange County Cooperative Extension has met regularly with PFPC <br /> leadership since November 2023 to address ongoing concerns and to identify steps that could be <br /> taken to improve operations and accountability between the nonprofit corporation PFPC and <br /> Orange County Government. A report was presented to the Board of County Commissioners at <br /> its April 30, 2024 work session and feedback from the Board was received. The new contract <br /> integrates that feedback and solutions proposed by Cooperative Extension and PFPC staff. <br /> Major Changes from Original Contract Last Extended on October 3, 2023 are: <br /> • Designates Director of Orange County Cooperative Extension as the Contract <br /> Administrator. <br />
