Revised 01/24 <br />3 <br />a. Basic Services. The Services to be rendered pursuant to this Agreement are as follows <br />(fully describe services to be provided): Included Services for your Indoor Air Wellness <br />Program: •Strategic fungal air sampling four times a year throughout the nine buildings <br />established in the program. Mold samples are hand delivered to a professional third- <br />party accredited lab (AIHA-LAP), meeting all requirements of the ISO 17025:2017 <br />Standards. Air samples are collected using professional and calibrated air sampling <br />pumps. •Data collection of Relative Humidity (RH) and Carbon Dioxide (CO2) <br />throughout the sampling areas. •Priority report preparation, the report will explain the <br />lab results. •Custom forms or handouts for staff/occupants prepared by ESG to explain <br />IAQ concepts. •Up to 2 presentations/meetings a year for staff/occupants. •Phone <br />consultation with a dedicated Indoor Environmental Professional (IEP) regarding the <br />findings. See below for details. •Certificate for display that shows compliance with <br />ESG’s Indoor Air Wellness Program. •The building included in the program is: <br />Passmore Senior Center. The price above was custom designed for the building after <br />creating diagrams of ideal sampling locations for the building. These sampling diagrams <br />can be provided to you if requested. Any change or addition to this building will need to <br />be done with a new pricing structure and agreement. <br />4. Duration of Services <br />a. Term. The term of this Agreement shall be from August 12, 2024 to August 1, 2025. <br />b. Scheduling of Services. <br />i) The Provider shall schedule and perform its activities in a timely manner. <br />ii) Should the County determine that the Provider is behind schedule, it may require <br />the Provider to expedite and accelerate its efforts, including providing additional <br />resources and working overtime, as necessary, to perform its services in <br />accordance with the approved project schedule at no additional cost to the <br />County. <br />iii) The Commencement Date for the Provider's Basic Services shall be August 12, <br />2024. <br />5. Compensation <br />a. Compensation for Basic Services. Compensation for Basic Services shall include all <br />compensation due the Provider from the County for all services satisfactorily (as <br />determined by the County) performed pursuant to this Agreement. The maximum <br />amount payable for Basic Services shall not exceed Nine Thousand, Seven Hundred <br />Forty-Four Dollars ($9,744.00). Payment for satisfactorily performed Basic Services <br />shall become due and payable within thirty (30) days of Provider properly invoicing <br />County. Payment shall be subject to provisions of Section 5(b). <br />b. Disputes. In the event the amount stated on an invoice is disputed by the County, the <br />County may withhold payment of all or a portion of the amount stated on an invoice <br />until the parties resolve the dispute.
