3 <br /> <br />d. Not change Assigned Employee’s job duties without Agency 's express prior <br />written approval; <br /> <br />e. Exclude Assigned Employees from Client’s benefit plans, policies, and practices, <br />and not make any offer or promise relating to Assigned Employees' compensation <br />or benefits; <br /> <br /> <br />f. Reimburse Agency for advertising conducted with respect to recruiting specific <br />personnel, when advertising is done at the request of Client; <br /> <br />g. Comply with OSHA Bloodborne Pathogen Exposure Control regulations found <br />under OSHA Standard 29 C.F.R.e.1910. Client certifies that it has developed and <br />follows an Exposure Control Plan in conformance with those regulations. At the <br />time of initial assignment to tasks where occupational exposure may occur, Client <br />will provide Assigned Employee with training in compliance with OSHA <br />Standard 29 C.F.R.e.1910. Client agrees to provide post exposure evaluation and <br />follow-up pursuant to OSHA Standard 29 C.F.R.e.1910, if an exposure incident <br />occurs to any Assigned Employee and to provide copies of all records of post- <br />exposure care to Agency. Client agrees to orient Assigned Employee to Client’s <br />policies, procedures, operations and OSHA/Infection Control procedures, and <br />inform the Agency of training dates and any changes in the Client’s policies and <br />procedures; <br /> <br />h. Designate a representative to report to Agency all time worked by each Assigned <br />Employee on a mutually agreed schedule; <br /> <br />i. Be responsible for compliance with all relevant safety and health laws and <br />regulations during the period of the Assigned Employee's assignment under <br />Client's supervision, including but not limited to JCAHO regulations relating to <br />orientation and evaluation and HIPAA regulations. <br /> <br />Payment Terms, Bill Rates, and Fees <br /> <br />3. Client will pay Agency for its performance as set forth on Exhibit B and will also pay any <br />additional costs or fees set forth in this Agreement. Agency will invoice Client for <br />services provided under this Agreement on a semi-monthly basis. Payment is due on <br />receipt of invoice. Invoices will be supported by the pertinent time sheets or other agreed <br />system for documenting time worked by the Assigned Employees. Information appearing <br />on the invoice shall be deemed accurate and affirmed by Client unless Client notifies <br />Agency in writing within five business days of date of the invoice, specifying the <br />particular error(s), omission(s), or objection(s). Failure to notify Agency within that time <br />shall constitute a waiver of any objection thereto. Agency may impose a finance charge <br />of one and one-half (1 ½) percent per month to all outstanding amounts unpaid by for <br />thirty (30) days or more after date of the invoice.
