D. OCES and Piedmont Health Services hereby agree that each entity will comply with <br />such nondiscrimination laws as may be applicable to it in the performance of this <br />Agreement. <br /> <br />E. This Agreement contains the entire understanding of the parties and shall not be altered, <br />amended, or modified without the prior written consent of the duly authorized official <br />of each party. <br /> <br />F. The laws of the State of North Carolina shall govern the validity and interpretation of <br />the terms and conditions of this Agreement. <br /> <br />Terms and Signatures <br />1. This Agreement becomes effective when signed by the duly authorized official of each <br />party. The period of agreement shall automatically renew from year to year under the same <br />terms as set forth in this Agreement or any written amendment thereto for a period of five <br />(5) years. At that time, the agreement will expire and may be extended upon written <br />agreement of the parties. <br />2. This Agreement can be amended or modified as needed with prior written consent of the <br />duly authorized official of each party. This Agreement will be reviewed not less than every <br />two years by both parties. <br />3. Employees of both the County and Piedmont Health Services acknowledge that they shall <br />not be agents or employees of the other entity when responding to an incident pursuant to <br />this Memorandum of Understanding. <br />4. Piedmont Health Services and the County shall be responsible for payment of workers’ <br />compensation benefits only to their own respective employees. <br />5. This Agreement is subject to the availability of funds to purchase the specified goods and <br />personnel to perform these services and may be terminated at any time if such funds <br />become unavailable. <br />6. The Parties shall at all times remain in compliance with all applicable local, state, and <br />federal laws, rules, and regulations including but not limited to all state and federal non - <br />discriminations laws, policies, rules, and regulations and the Orange County Non- <br />Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated <br />herein by reference and may be viewed at <br />http://orangecountync.gov/departments/purchasing_division/contracts.php.) Any violation <br />of the Orange County Non-Discrimination Policy is a breach of this Agreement, and the <br />County may immediately terminate this Agreement without further obligation on the part <br />of the County. This paragraph is not intended to limit and does not limit the definition of <br />breach to discrimination. <br />7. This MOU and any exhibits and amendments attached hereto, and any documents <br />incorporated specifically by reference represent the entire agreement between the parties <br />and supersede all prior oral and written statements or agreements. <br />Docusign Envelope ID: DEF43F67-FA08-4F7E-81F4-FB6EF300A382
