Customer acknowledges and agrees that Section 10.2 of the TOS applies to this Addendum <br />and the Distribution Services. <br />12. Additional Limitation of Liability and Indemnification. <br />12.1. Limitation of Liability. Customer acknowledges and agrees that the provisions of Section 13 of the TOS <br />shall apply to this Addendum and Customer’s use of the Distribution Services as described herein. Wi thout <br />limiting the foregoing, Submittable shall have no liability for Losses of any kind incurred by Customer as a <br />result of (i) Customer or any Recipients’ failure to provide accurate and complete information to Submittable <br />and Processor; (ii) Submittable’s review of any application, entry, or submission by or on behalf of a <br />Recipient or determination to distribute funds to any Recipient made in accordance with the Program <br />Requirements; (iii) Customer’s, Processor’s, or any Recipient’s fraud, negligence, willful misconduct, or <br />violation of any applicable laws or Network rules; (v) Customer’s or a Recipient’s breach of any Processor <br />Terms; or (vi) Customer’s failure to fund the Processor Account. <br />12.2. Indemnification. Customer acknowledges and agrees that the provisions of Section 12.2 of the TOS shall <br />apply to this Addendum and Customer’s use of the Distribution Services as described herein. Without <br />limiting the foregoing, Customer shall indemnify, hold harmless, and, at Submittable’s option, defend <br />Submittable from and against any Losses resulting from any Third-Party Claim based on (i) Customer’s use <br />of the Distribution Services; (ii) Customer’s breach of this Addendum (iii) Customer’s or any Recipient’s <br />breach of any Processor Terms; (iv) Customer’s or any Recipient’s fraud, negligence, willful misconduct, or <br />violation of any applicable laws or Network rules; or (vi) Customer’s failure to fund the Processor Account. <br /> <br /> <br /> <br /> <br />DocuSign Envelope ID: 367666E5-0A49-40C9-BFB5-74D495BAB8F1
