<br />Submittable Customer Terms of Service <br />v1.4 <br /> Page 9 of 28 <br />their original intent as closely as possible in a mutually acceptable manner in order that the transactions <br />contemplated hereby be consummated as originally contemplated to the greatest extent possible. <br />15.6. Governing Law; Submission to Jurisdiction. This TOS is governed by and construed in accordance with the <br />internal laws of the State of Montana without giving effect to any choice or conflict of law p rovision or rule <br />that would require or permit the application of the laws of any jurisdiction other than those of the State of <br />Montana. Any legal suit, action, or proceeding arising out of or related to this TOS or the licenses granted <br />under this TOS will be instituted exclusively in the federal courts of the United States or the courts of the <br />State of Montana in each case located in the city of Missoula and County of Missoula, and each Party <br />irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding. <br />15.7. Assignment. Submittable may assign this TOS without written consent of Customer provided the <br />assignment is pursuant to a merger, consolidation, reorganization, asset or stock sale provided the <br />assignee remains fully liable under the terms of the TOS. Otherwise, neither Party may assign this TOS <br />without the prior written consent of the other. No assignment, delegation, or transfer will relieve Customer <br />of any of its obligations or performance under this TOS. Any purported assignment, delegation, or transfer <br />in violation of this Section is void. This TOS is binding upon and inures to the benefit of the Parties and their <br />respective successors and permitted assigns. <br />15.8. Export Regulation. Customer shall comply with all applicable federal laws, regulations, and rules, and <br />complete all required undertakings (including obtaining any necessary export license or other governmental <br />approval), that prohibit or restrict the export or re-export of the Services or any Customer Data outside the <br />US. <br />15.9. Equitable Relief. Each Party acknowledges and agrees that a breach or threatened breach by such Party <br />of any of its obligations under Sections related to Confidential Information, intellectual property, or, in the <br />case of Customer, Sections related to Use Restrictions or Customer Control and Responsibility, would <br />cause the other Party irreparable harm for which monetary damages would not be an adequate remedy <br />and agrees that, in the event of such breach or threatened breach, the other Part y will be entitled to seek <br />equitable relief, including a restraining order, an injunction, specific performance and any other relief that <br />may be available from any court, without any requirement to post a bond or other security, or to prove actual <br />damages or that monetary damages are not an adequate remedy. Such remedies are not exclusive and <br />are in addition to all other remedies that may be available at law, in equity or otherwise. <br />15.10. Attorneys’ Fees. To the extent allowed by applicable law, in the event that any action is instituted or <br />commenced by either Party against the other Party arising out of or related to this TOS, the substantially <br />prevailing Party is entitled to recover its reasonable attorneys’ fees and court costs from the non -prevailing <br />Party. <br />15.11. Counterparts. This TOS may be executed in counterparts, each of which shall be deemed an original, but <br />all of which together shall be deemed to be one and the same agreement. A signed copy of this TOS <br />delivered by facsimile, email or other means of electronic transmission, as well as photocopies of such <br />facsimile transmission or email correspondence (e.g., DocuSign) shall be deemed to have the same legal <br />effect as delivery of an original signed copy of this TOS. <br /> <br /> <br />DocuSign Envelope ID: 367666E5-0A49-40C9-BFB5-74D495BAB8F1
