<br /> <br />covered hereunder, shall be called upon to contribute to a loss until the Contractor’s primary and <br />excess liability policies are exhausted. <br />F. Legal Liability Coverage. The property insurance is to be endorsed to include Legal Liability <br />Coverage (ISO Form CP 00 40 04 02 or equivalent) with a limit equal to the replacement cost of the <br />leased property. <br />G. Notice of Cancellation. Each insurance policy required above shall provide that coverage shall <br />not be canceled, except with notice to the Owner. <br />H. Waiver of Subrogation. User/Licensee hereby grants to Owner a waiver of any right to <br />subrogation which any insurer of said User/Licensee may acquire against the Owner by virtue of the <br />payment of any loss under such insurance. User/Licensee agrees to obtain any endorsement that <br />may be necessary to affect this waiver of subrogation, but this provision applies regardless of <br />whether or not the Owner has received a waiver of subrogation endorsement from the insurer. <br />I. Verification of Coverage. User/Licensee shall furnish the Owner with original certificates and <br />amendatory endorsements or copies of the applicable policy language effecting coverage required <br />by this clause and a copy of the Declarations and Endorsements Pages of the CGL and any Excess <br />policies listing all policy endorsements. All certificates and endorsements and copies of the <br />Declarations & Endorsements pages are to be received and approved by the Owner before work <br />commences. However, failure to obtain the required documents prior to the work beginning shall <br />not waive the User/Licensee’s obligation to provide them. The Owner reserves the right to require <br />complete, certified copies of all required insurance policies, including endorsements required by <br />these specifications, at any time. Owner reserves the right to modify these requirements, including <br />limits, based on the nature of the risk, prior experience, insurer, coverage, or other special <br />circumstances. <br />8. Indemnification. User agrees to hold harmless, indemnify and defend Owner (including Owner’s <br />agents, employees, and representatives) from any and all liability for injury or damage including, but not <br />limited to, bodily injury, personal injury, emotional injury, or property damage which may result from <br />any person using the above described premises, its entrances and exits, and surrounding areas, for <br />User’s purposes, regardless of whether such injury or damage results from the negligence of the Owner <br />(including Owner’s agents, employees and representatives) or otherwise. <br />9. Agreement. This agreement is not a lease. It constitutes a license, and the user obtains no <br />possessory interest in the property. The license may be terminated by the Owner at any time. <br />10. Cancellation. Either party may unilaterally cancel this agreement with 14 days written notice to the <br />other party. In the event that the Owner must cancel this agreement, the Owner will not be liable to the <br />User for any lost profits or incidental, indirect, special, or consequential damages arising out of User’s <br />inability to use the above‐described premises, even if the Owner has been advised of the possibility of <br />such damages. <br />DocuSign Envelope ID: 6EB45039-C232-40DE-A211-8F74A4374C3E
