All Rights Reserved. <br />A. on or before the effective date of this Policy; <br />B. after the effective date of this Policy by reason of being created or acquired by the Insured Entity after such date, <br />if and to the extent coverage with respect to the entity is afforded pursuant to Section VI. CONDITIONS, <br />paragraph K. COVERAGE FOR NEW SUBSIDIARIES. <br />Takeover means: <br />A. the acquisition of Management Control of the Named Insured by another entity or person, or group of entities or <br />persons acting in concert; <br />B. the merger of the Named Insured into another entity such that the Named Insured is not the surviving entity; or <br />C. the consolidation of the Named Insured with another entity. <br />Technology Product means: <br />A. hardware, firmware, software or source or object code; <br />B. information technology equipment, electronic device, electronic component or computer peripheral; <br />C. any wireless or wire line telecommunication equipment including, but not limited to, wireless, wireline, satellite or <br />broadcast network equipment, <br />that is created, designed, manufactured, sold, or distributed by or on behalf of the Insured Entity or licensed or <br />leased by the Insured Entity to others. <br />Technology Services means: <br />A. information technology services including, but not limited to: <br />1. designing, developing, programming, writing, testing, installing, servicing, supporting, maintaining, repairing <br />and updating software including any modification and reengineering and providing training, updates and <br />support; <br />2. planning, designing, developing, engineering, installation and maintaining computer systems, computer <br />networks and electronic systems; <br />3. managing and operating computer systems, computer networks and facilities, as well as facilities support <br />services; <br />4. designing and publishing prepackaged and custom designed application and systems software; <br />5. data processing, management, warehousing and data hosting including data entry, conversion, destruction <br />and analysis; <br />B.
