Revised 01/24 <br />1 <br /> [Departmental Use Only] <br /> TITLE Select Physical Ther <br /> FY 2024 <br />NORTH CAROLINA <br /> SERVICES AGREEMENT NO RFP/RFQ <br /> <br />ORANGE COUNTY <br /> <br /> This Services Agreement (hereinafter “Agreement”), made and entered into this 5th day of <br />February, 2024, (“Effective Date”) by and between Orange County, North Carolina a political <br />subdivision of the State of North Carolina (hereinafter, the "County") and Select Physical <br />Therapy, a Delaware Corporation registered in North Carolina with its principal place of <br />business located at 4716 Gettsburg Road, Mechanicsburg PA 17055 for an on behalf of its <br />subsidaries and affiates ("hereinafter, the "Provider"), WorkSTEPS, Inc., a Texas corporation <br />located at University Busines Park, 3019 Alvin Devane, Suite 150, Austin Texas 78741 <br />("WorkSTEPS"), (hereinafter, the "Provider"). <br /> <br />WITNESSETH: <br /> <br /> That the County and Provider, for the consideration herein named, do hereby agree as <br />follows: <br /> <br />1. Services <br /> <br />a. Scope of Work. <br /> <br />i) This Agreement is for services to be rendered by Provider to County with respect <br />to (insert type of project): The services and/or materials to be furnished under this <br />Agreement are as follows: [functional employment testing of job descriptions <br />identified by COUNTY, as further described in Attachment A, Description of <br />Services, which is attached herto and incorporated by refernce herein, except as to <br />those parts that conflict with this Agreement]. WorkSTEPS provides <br />implementing a functional employment testing program as a part of its work <br />injury and disability management program, to, among other reasons, effecuate a <br />reduction of on-the-job injuries by trying to determine if an applicant or employee <br />can safely pefrom the essential functions of the job. To assist Orange County in <br />implenting the WorkSTEPS functional employment-testing program. <br /> <br />ii) By executing this Agreement, the Provider represents and agrees that Provider is <br />qualified to perform and fully capable of performing and providing the services <br />required or necessary under this Agreement in a fully competent, professional and <br />timely manner. <br /> <br />iii) Time is of the essence with respect to this Agreement. <br /> <br />iv) The services to be performed under this Agreement consist of Basic Services, as <br />described and designated in Section 3 hereof. Compensation to the Provider for <br />Basic Services under this Agreement shall be as set forth herein. <br /> <br />2.
