Revised 01/24 <br /> <br />NORTH CAROLINA <br />CONTRACT AMENDMENT <br />ORANGE COUNTY <br /> <br /> <br />THIS CONTRACT AMENDMENT (“Amendment”) is made and entered into this 3rd day of April, 2024 by and <br />between ORANGE COUNTY (hereinafter referred to as “County”) and Simpleview, LLC (hereinafter referred to as <br />“Provider”). <br /> <br /> <br />WITNESSETH: <br /> <br />THAT WHEREAS, the County and Provider entered into a contract dated May 30th, 2023 (hereinafter the “Original <br />Agreement”), for the provision of services for website redesign and implementation of AudioEye software, and <br /> <br />WHEREAS, the County and Provider desire to amend the Original Agreement while keeping in effect all terms and <br />conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. <br /> <br />NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to <br />amend the Original Agreement as follows: <br /> <br />1. In order to ensure the completion of the Services identified in the term of the Original Agreement is amended <br />to reflect an end date by which all Services shall be completed on or before October 31, 2024. <br /> <br />2. Exhibit A to the Original Agreement is amended as follows; Page 3, Paragraph 2 under the subheading <br />“Payment Terms for Annual Licensing” is deleted in its entirety and replaced with, You will be billed a pro- <br />rated amount based on that annual licensing fee (in the case that it is actively being billed) from the date <br />services are completed up to your anniversary date, then the full annual licensing fee will be added to your <br />overarching CMS Licensing Fee for the remainder of your CMS licensed term. The annual licensing fee <br />covers browser updates, bug fixes, API updates, point upgrades and version upgrades as they become <br />available. <br /> <br />3. Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent <br />it is not inconsistent with this Amendment.
