Revised 01/24 <br /> <br />NORTH CAROLINA <br />CONTRACT AMENDMENT <br />ORANGE COUNTY <br /> <br /> <br />THIS CONTRACT AMENDMENT (“Amendment”) is made and entered into this 28th day of March, 2024 by and <br />between ORANGE COUNTY (hereinafter referred to as “County”) and CentralSquare Technologies (hereinafter <br />referred to as “Provider”). <br /> <br /> <br />WITNESSETH: <br /> <br />THAT WHEREAS, the County and Provider entered into a contract dated June 22, 2023, (hereinafter the “Original <br />Agreement”), for the provision of services for ONESolution – Public Safety and Justice; and <br /> <br />WHEREAS, the County and Provider desire to amend the Original Agreement while keeping in effect all terms and <br />conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. <br /> <br />NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to <br />amend the Original Agreement as follows: <br /> <br /> <br />1. Exhibit A to the Original Agreement is amended to reflect the tasks and services, and annual billing terms and <br />amounts outlined in the attached Exhibit 1 and by adding the following tasks and services in the attached quotes <br />to the Services to be provided by the Provider: <br />a. ONESolution Automated Secure Alarm Protocol Interface (ASAP) Annual Subscription Fee - $6,000.00 <br />b. Public Safety Project Management Services – Fixed Fee - $1,170.00 <br />c. Public Safety Technical Services – Fixed Fee - $5,850.00 <br />d. ONESolution US Digital Designs Communications Gateway Annual Subscription Fee - $2,200.00 <br />e. Public Safety Project Management Services – Fixed Fee - $975.00 <br />f. Public Safety Technical Services – Fixed Fee - $4,680.00 <br /> <br />2. Article 5, Section a is amended to reflect a maximum payable not-to-exceed amount of Three-hundred-thirty- <br />seven-thousand-seven-hundred-thirty-one and 41/100 dollars ($337,731.41 = Original contract $116,417.74 + <br />2025/2026 new products $20,875.00 + 2025/2026 2yrs maint for new products $16,400.00 + 2025/2026 renewal products <br />$184,038.67). <br /> <br />3. Article 4, Section a is amended to reflect a term ending 30 June 2026. <br /> <br />4. Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent <br />it is not inconsistent with this Amendment.
