6 <br /> <br />personnel or $2,500.00 but not to exceed $5,000.00 in total. In no event shall SSG be liable to retain Client <br />Data or perform the extraction of Client Data for a period in excess of 90 days of the termination or <br />expiration of the SaaS Services unless otherwise required by applicable law.” <br /> <br />Section 12(p) Responsibilities of the County. A new Section 12(p) is hereby added as follows: <br /> <br />“Section 12(q) Responsibilities of the County. The Client has designated (Jim Northrup) to act as the Client's <br />representative with respect to the Services who shall have the authority to render decisions within <br />guidelines established by the County Manager or the County Board of Commissioners and who shall be <br />available during working hour as often as may be reasonably required to render decisions and to furnish <br />information.” <br /> <br />Section 12(q) Non-Discrimination. A new Section 12(q) is hereby added as follows: <br /> <br />“Section 12(q) Non-Discrimination. SSG shall at all times remain in compliance with all local, state, and <br />federal laws, rules, and regulations including but not limited to all state and federal non-discrimination <br />laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County <br />Living Wage Policy (each policy is incorporated herein by reference and may be viewed at: <br />http://www.orangecountync.gov/departments/purchasing_division/contracts.php.) Any verified violation <br />of the Orange County Non-Discrimination Policy by SSG is a breach of this Agreement and Client may <br />immediately terminate this Agreement without further obligation on the part of the County. This Section <br />is not intended to limit and does not limit the definition of breach to discrimination. <br /> <br />IN WITNESS WHEREOF, the Parties hereto have executed this Rider and the attached Master Services <br />Agreement with the intent to be legally bound thereby effective February 1 , 2024.
