this direction. <br /> <br />Orange County, NC will also be required to provide any necessary third-party consultation and <br />configuration work for systems outside the overall contract. <br /> <br />Orange County, NC Point of Contact <br />Orange County, NC shall assign a minimum of one and a maximum of three contact people to <br />manage the installation and administration of the System (the “System Administrator”). Orange <br />County, NC shall provide USDD with written notice of such assignment prior to the Project <br />Meeting (defined below). Orange County, NC may change the System Administrator only <br />upon written notice to USDD. The System Administrator shall have the principal responsibility <br />of overseeing and managing this project on behalf of Municipality and shall be the primary <br />point of contact for Orange County, NC. Orange County, NC may replace the person serving as <br />its System Administrator only upon prior written notice to USDD. Orange County, NC will <br />ensure that the System Administrator is reasonably available to USDD and USDD may rely on <br />the direction of the System Administrator in performing its duties hereunder, including without <br />limit, direction to provide additional services. <br /> <br /> <br />Project Implementation <br /> <br />Project Planning <br />Project planning will begin with the initial project meeting (“Project Meeting”). USDD will <br />participate in the Project Meeting (which could be web based depending on scheduling <br />constraints). This meeting is important to developing the expectations of Orange County, NC and <br />establishing the specific equipment and services to be delivered by USDD. <br /> <br />USDD will work with Orange County, NC and CAD provider to develop an implementation plan <br />and schedule that meets the needs of the Municipality and is completed within the overall <br />timeframe of the project. The implementation plan will list all equipment to be delivered and will <br />detail the delivery timeframe for this equipment as well as any work to be done by Orange County, <br />NC prior to or after delivery and installation. <br /> <br />Any equipment, software development, installation or other work that is outside the scope of the <br />equipment and services described in the Quote will be considered out of scope and may be subject <br />to a formal change order. After the acceptance of the design, all changes in scope will be <br />considered subject to a formal change order. <br /> <br /> <br />CAD Interface Customization <br />USDD will provide its standard API for CAD System alerting interfacing and will customize this <br />interface to operate with the current version of Orange County, NC’s CAD system FSA interface. <br />Any associated FSA interface fees charged by Orange County, NC’s CAD provider are not <br />included in Quote. <br /> <br />DocuSign Envelope ID: 7E694176-9E31-49DB-A1E4-AFB129905EB1
