UNC SOM #24-0413 <br />1 <br /> <br />MEMORANDUM OF AGREEMENT <br />BETWEEN <br />THE UNIVERSITY OF NORTH CAROLINA AT CHAPEL HILL FOR ITS SCHOOL <br />OF MEDICINE, DEPARTMENT OF PSYCHIATRY <br />AND <br />ORANGE COUNTY, NORTH CAROLINA <br /> <br />This Memorandum of Agreement (“MOA”) sets forth the terms and understanding between the <br />University of North Carolina at Chapel Hill for its School of Medicine, Department of Psychiatry <br />(the “University”) and Orange County, North Carolina, a political subdivision of the State of North <br />Carolina (the “County) pursuant to which the County shall reimburse the University for the Adult <br />Mental Health Housing Funds provided by the University to individuals residing in Orange <br />County. <br /> <br />1. Agreements of the Parties <br /> <br />a. The Parties hereby acknowledge and agree that the University has completed the <br />performance of its obligations set forth in Attachment A, Scope of Work: Adult Mental <br />Health (AMH) Housing Subsidies, attached hereto and incorporated herein by this <br />reference, by providing the financial support detailed therein. <br /> <br />b. The County shall reimburse the University as set forth in Attachment A. <br /> <br />2. Term <br /> <br />This MOA shall become effective as of August 22, 2023 and continue until the County <br />completes its reimbursement of the University pursuant to Section 1.b. <br /> <br />3. Additional Provisions <br /> <br />a. Compliance. Each Party shall comply with all laws, ordinances, codes, rules, regulations, <br />and licensing requirements that are applicable to the conduct of its business and the <br />performance of this MOA, including those of federal, state, and local agencies having <br />jurisdiction and/or authority. <br /> <br />b. Assignment. Neither Party may assign or otherwise transfer its rights or obligations under <br />this MOA without the prior written consent of the other party, which consent shall not be <br />unreasonably withheld or delayed. Any purported assignment in violation of the preceding <br />sentence will be void and of no effect. <br /> <br />c. Governing Law. The laws of North Carolina shall govern the validity and interpretation of <br />the provisions, terms, and conditions of this MOA. <br /> <br />d. Severability and Waiver. If any provision of this MOA is determined to be invalid, such <br />determination shall not affect the validity of the remaining provisions.
