3.Basic Services <br />a.Basic. Services. The Services to be tendered pursuant to this Agreement are as follows: <br />The Provider agrees to the following: <br />i.Provide low-cost spay and neuter services to the general public thrqugh St. <br />Francis.Animal Hospital. <br />11. Provide, at the instruction of designated Animal Services Staff, spay and neuter <br />services to cats and-dogs belonging to residents who qualify for the state of North <br />Carolina's Low Cost Spay and Neuter Program; but not the Spay/Neuter program <br />for Orange County residents administered by AnimalKind in partnership with <br />Orange. County. <br />lll.Additional surgical procedures may .also be performed at agreed upon costs when <br />necessary or beneficial to the animal's health. <br />1v. V eterinarian shall retain the sole ancl absolute discretion and judgement in. the <br />manner; method, and means of carrying out the duties to be performed subject to <br />the Veterinarian's profossional and ethical obligations. It is understood and agreed <br />that the Veterinarian has sole responsibility for all surgical procedures including • <br />pre-and post-operative procedures. <br />v.This shall include, but not be limited to,. Veterinarian's right to prescribe, treat, <br />and diagnose in accordance with their own professional judgment. The means <br />and/or method of performing the services shall remain within the sole discretion. <br />of the Veterinarian, and the County shall not have any right to control or <br />deterrnirte such means and/or methods used by Veterinarian. <br />b.License. The Veterinarian. shall maintain a license to practice veterinary medicine; that is <br />current and jn good standing, within the state of North Carolina as well as the level of <br />expertise and education necessary to keep abreast of current industry standards and <br />practices. Veterinarian shall conduct business in a manner compliant with the laws and <br />professional standards set forth by the North Carolina Veterinary MedicalBoard and the <br />American Veterinary Medical Association and shall provide services in accordance with <br />the values and ethics of the veterinary profession. County agrees that it will in no way <br />interfere with the Veterinarian's professional and ethical obligations noted herein. <br />4.Duration of Services <br />a.Te nn. The term of this Agreement shall be frotn February 1, 2024, to June 30, 2024. <br />b.Scheduling of Services. <br />i.The Provider shall schedule and perform its activities iri a timely manner. <br />ii.Should the County determine that the Provider is behind schedule, it may require <br />the Provider to expedite and accelerate its efforts, including providing additional <br />resources and working overtime, as necessary, to perform its services in <br />accordance with the approved project schedule at no additional cost to the County; <br />iiL The Commencement Date for the Provider's Basic Services shall be February 1, <br />2023. 3 Revised 01/2024 <br />DocuSign Envelope ID: D435B1B0-AAD8-43E3-B4F5-4C091CB686E7
