111 <br /> Section 11.06 Amendment. These Bylaws may be amended(a)at any annual or special meeting <br /> of the Members duly held in accordance with the provisions of these Bylaws with respect to which notice of <br /> such purpose has been given,and at which a quorum is present,by the affirmative vote of Members entitled and <br /> qualified to vote present at such meeting in person or by proxy who represent not less than a majority of the <br /> total number of votes allocated to all Lots as provided in the Declaration,or(b)by written consent of Members <br /> entitled and qualified to vote who represent not less than a majority of the total number of votes allocated to all <br /> Lots as provided in the Declaration. In the event there are no Members entitled and qualified to vote, these <br /> Bylaws may be amended as provided by the applicable provisions of the North Carolina Planned Community <br /> Act and/or the North Carolina Nonprofit Corporation Act. <br /> Section 11.07 Self-Dealiniz. Each Director,Officer and agent of the Association shall disclose in <br /> the written minutes of the Board of Directors any contract or agreement of any kind between the Corporation <br /> and any person or entity to which he is related by blood or marriage or in which he has an interest, whether <br /> direct or indirect. <br /> Section 11.08 Conflicts. In the event of any conflict between any mandatory provision contained <br /> in the North Carolina Planned Community Act and/or the North Carolina Nonprofit Corporation Act and any <br /> provision contained in the Declaration, the Articles of Incorporation and/or these Bylaws, the mandatory <br /> provision contained in the North Carolina Planned Community Act and/or the North Carolina Nonprofit <br /> Corporation Act, as applicable, shall control. In the event of any conflict between any provision contained in <br /> the Declaration and any provision contained in the Articles of Incorporation and/or these Bylaws,the provision <br /> contained in the Declaration shall control. In the event of any conflict between any provision contained in the <br /> Articles of Incorporation and any provision contained in these Bylaws,the provision contained in the Articles <br /> of Incorporation shall control. <br /> Section 11.09 Effective Date.
