AMS – TMA Terms Document <br />2 <br />TMA Systems, LLC <br /> <br />License Agreement <br /> <br />The Customer identified below has purchased or acquired from TMA Systems, LLC (“the <br />Company”) a License of the TMA Systems software listed on the attached Quotation (“the <br />Software”). The Company and the Customer agree to the following terms and conditions of the <br />License: <br /> <br />1. License Grant: The Company grants to the Customer a License for the perpetual use of <br />the Software, subject to the following restrictions and limitations: <br /> <br />A. The License is limited to the version of the Software listed on the Quotation. <br /> <br />B. The License is non-exclusive to the Customer. <br /> <br />C. The License may not be assigned, sub-licensed or otherwise transferred by the <br />Customer without the express written consent of the Company. <br /> <br />2. Use of Software: <br /> <br />A. The Software may only be used to manage the operations of the Locations <br />described on the Quotation or later added with the agreement of the Company. <br /> <br />B. The concurrent use of the Software is limited to the number of concurrent users <br />plus named users listed on the Quotation or later purchased by the Customer. <br /> <br />C. The Software may only be installed with one production database on a single <br />server / computer. <br /> <br />D. Customer may make not more than one backup copy of the Software installation <br />media, provided that the backup copy shall not be installed or otherwise used by <br />the Customer, except to replace the initially installed Software. <br /> <br />E. Customer shall not use the Software as a call center or service bureau, or <br />otherwise permit the use of the Software by any third party without the prior <br />express written consent of the Company. <br /> <br />3. Protection of Intellectual Property Rights: <br /> <br />A.
