33 <br /> 28. SUCCESSOR LIMITATION <br /> If Grantee shall cease to exist or to be a qualified organization under Section 170(h) of the Internal <br /> Revenue Code, or to be authorized to acquire and hold conservation easements under N.C.G.S. § <br /> 121-34 et seq., and a prior assignment is not made pursuant to Section 9 above, then Grantee's <br /> rights and obligations under this Conservation Easement shall become immediately vested in such <br /> organization as a court of competent jurisdiction shall direct pursuant to North Carolina law and <br /> with due regard to the requirements for an assignment pursuant to said Section 9. <br /> 29. ACCEPTANCE AND EFFECTIVE DATE <br /> As attested by the signature of its authorized representatives affixed hereto,Grantee hereby accepts <br /> without reservation the rights and responsibilities conveyed by this Conservation Easement.
