Margaret Lane Ste. 205, Hillsborough, NC 27278 <br /> <br />Not to Exceed Cost: $8,000 Start Date: Jul 1, 2023 End Date: June 30, 2024 <br /> <br />DescripƟon of Services: State of the Community Database, State of the Community DataBook, State of the <br />Community PresentaƟon, and other services set forth in Exhibit A. <br /> <br />Terms and CondiƟons <br /> <br />1) Services. The Chamber for a Greater Chapel Hill‐Carrboro (“The Chamber”) will source and publish, with <br />consulƟng support from UNC’s Carolina Demography, a wide range of social, economic, and environmental data, <br />as well as organize and publish a broad range of community indicators with regional and naƟonal benchmarks <br />and comparisons. Client has instructed The Chamber to undertake the specific services described above (the <br />“Services”). In consideraƟon of Client’s payment to The Chamber in accordance with the terms stated herein, <br />The Chamber shall perform the Services. <br /> <br />2) Reports. The Chamber shall provide Client with <br />a. 2023 State of the Community presentaƟon, <br />b. Published 2023 State of the Community Report (printed and electronic), <br />c. Semi‐annual briefings, and <br />d. Access to a database including the data obtained in the course of the Services. <br />The Client recognizes that the results of the Services which do not disclose ConfidenƟal InformaƟon provided <br />hereunder may be deemed publishable by The Chamber and other Data Partners. <br /> <br />3) Intellectual Property. It is not anƟcipated that intellectual property will arise in The Chamber’s performance <br />of the Services. <br /> <br />4) TerminaƟon. Either party may terminate this Agreement upon prior wriƩen noƟce to the other party. All <br />reasonable costs and non‐cancelable obligaƟons incurred by The Chamber at the Ɵme of said terminaƟon shall <br />be reimbursed by Client. <br /> <br />5) Independent Contractor. In the performance of the Services, The Chamber shall be deemed to be and shall <br />be an independent contractor. <br /> <br />6) No WarranƟes and Indemnity. The Chamber makes no warranƟes, express or implied, regarding the quality <br />of product produced under this Agreement. The Chamber shall use its reasonable efforts to perform the <br />Services. The Chamber does not warrant or guarantee any results from a given project. The Chamber shall not <br />be liable for Client's use of the report or other informaƟon provided by The Chamber.
