SWG By-Laws (Final) Manager, 919-245-2002 <br /> PURPOSE: To approve amendments to the Orange County Staff Working Group (SWG) By-Laws. <br /> BACKGROUND: Following initial discussion in October 2023, the SWG recommended <br /> amendments to the Group By-Laws at its November 15, 2023 meeting. The proposed updates <br /> address voting procedures, duties of officers, regular meetings and attendance. Details of these <br /> changes are annotated below. <br /> 1. Article IV — Members - Section 1: Number and Qualifications: <br /> o The Town of Chapel Hill specified one from the Town and one from Chapel Hill Transit. <br /> o Triangle J Council changed its name to Central Pines Regional Council. <br /> 2. Article V — Officers - Section 1: Duties of Officers <br /> • Removed: "For meetings held jointly between the Orange and Durham Staff Working <br /> Groups, the responsibility for calling and presiding over the meetings shall alternate <br /> between the two groups each year." <br /> 3. Article VI — Section 2: Regular Meetings <br /> • Replaced "At the first regular meeting of each fiscal year (July 1 —June 30)" with "Meetings <br /> will be held on a regular schedule approved by the Orange SWG". <br /> • Removed "Meetings may be held jointly with the County Staff Working Group." <br /> • Replaced three business days to seven <br /> 4. Section VI — Section 5: Attendance <br /> • Replaced: "Attendance for special meetings maybe held virtual"with "Voting members shall <br /> be expected to attend regular meetings, as described in Section 2 of these Bylaws, in <br /> person. Special meetings may be held conducted and attended virtually." <br /> • Removed: "and voting through virtual access or phone call is allowable." <br /> 5. Section VI — Section 7: Voting Procedures <br /> • Removed: "During joint meetings of the Orange and Durham Staff Working Groups, votes <br /> shall be held separately by each county SWG."
