Revised 04/23 <br />4 <br />6.Responsibilities of the County <br />Cooperation and Coordination. The County has designated (Chaz Offenburg) to act as <br />the County's representative with respect to the Project who shall have the authority to <br />render decisions within guidelines established by the County Manager or the County <br />Board of Commissioners and who shall be available during working hours as often as <br />may be reasonably required to render decisions and to furnish information. <br />7.Insurance <br />At all times during the term of this contract, The Provider shall obtain, pay for, maintain, <br />and require any subcontractors to maintain insurance for the following coverages and <br />amounts below. Insurance carriers must be licensed to conduct business in the State(s) <br />where the work is being performed, and must have an A.M. Best rating of at least A- VII <br />or higher. Failure to maintain the following insurance constitutes a material breach of <br />contract. <br />COMMERCIAL GENERAL LIABILITY insurance for Bodily Injury and Property <br />Damage for limits not less than $2,000,000 per occurrence/$4,000,000 aggregate <br />including coverage for Provider’s premises operations, independent contractors, <br />contractual liability, products/completed operations, personal and advertising injury, <br />damage to premises rented to you. Orange County, its officers, official agents and <br />employees shall be included as an Additional Insured, and the policy shall include a <br />Waiver of Subrogation. <br />BUSINESS AUTOMOBILE LIABILITY insurance with a combined single limit of not <br />less than $2,000,000 for Bodily Injury and Property Damage for all owned, non-owned, <br />leased and hired vehicles. Orange County, its officers, official agents and employees shall <br />be included as an Additional Insured, and the policy shall include a Waiver of <br />Subrogation. <br />WORKERS’ COMPENSATION AND EMPLOYERS LIABILITY insurance in the <br />State(s) where the work will be performed with statutory limits for workers’ <br />compensation and the following limits for employers liability: bodily injury by accident <br />each accident $1,000,000; bodily injury by disease policy limit $1,000,000; bodily injury <br />by disease each employee $1,000,000. A Waiver of Subrogation shall be included. <br />MISCELLANEOUS PROFESSIONAL AND CYBER LIABILITY insurance for <br />wrongful acts, errors and omissions committed while performing professional services <br />rendered with limits of at least $5,000,000 to $10,000,000 per occurrence and in the <br />aggregate. Any retroactive date or prior acts exclusion must predate both the date of this <br />agreement and any earlier commencement of any services. Coverage must be maintained <br />for a minimum of three (3) years after final completion of the services or work provided <br />by the Vendor. <br />All of the above policies shall be written on an occurrence form. Claims made forms are <br />not acceptable except for Professional/Technology/Cyber Liability policies.
