2.Services <br />Reason Consulting will provide access to the Taxscribe™Software as a Service platform for <br />Government ("Taxscribe™Gov","Taxscribe™","Taxscribe.com")according to the Terms and <br />Conditions,Privacy Policy,Cookie Policy,Acceptable Use Policy,and other agreements as <br />provided on the website Taxscribe™.com,and in this Statement of Work. <br /> <br />A.Access.Reason Consulting will provide access to Taxscribe™Gov for the number of <br />licensed end users listed below.A license has an associated email address used to <br />identify a single user of the site.Client agrees to manage the user accounts and <br />licenses to ensure that only a single user has access to the email address utilized for <br />the provided license,and agrees that sharing of log-in credentials is strictly prohibited. <br />B. Support.Reason Consulting will use reasonable methods to provide technical support <br />to the Client end-users.This support includes training and continuous development to <br />improve the Taxscribe™Gov experience.Support personnel will generally be available <br />8am to 5pm EST Monday through Friday.Contact information will be provided as well as <br />a Service Level Agreement. <br />C.Connectivity.Taxscribe™is a Software as a Service application and this Statement of <br />Work is for one or more user licenses of the software.Connection to the software is the <br />responsibility of the Client.Reason Consulting will not provide support for internet <br />connectivity,hardware,or other issues that exist in the Client's operating environment. <br />3.Fees <br />A.Annual Fee.The fee for Taxscribe™Gov will be based on the number of assigned <br />licenses and features to be provided annually as demonstrated in the pricing matrix <br />below.Licenses and features will be mutually agreed upon by both parties at the <br />beginning of each contract year,and consist of an annual fee not to be exceeded. <br />B.Invoices.The Annual Fee will be billed on the annual contract start date.Invoices are <br />due and payable within 30 days of the contract start date.Failure to pay may result in <br />suspension of end user licenses.Payments may be made by check or ACH,and both <br />methods will be included on the invoice. <br />Reason Consulting Corp -Taxscribe™SOW -Orange County North Carolina -8/14/2023 -pg.2 <br />DocuSign Envelope ID: D91792F2-C054-4B14-9AC1-E20EEA358198
