Prime Health Services, Inc. <br /> County Master Services Agreement <br /> <br />1 | P a g e <br />Copyright © 2014 – Prime Health Services, Inc. <br />County Corrections MSA - v1.0 - created 12/1/13; updated 12/6/17 <br /> <br />This MASTER SERVICES AGREEMENT (“Agreement”) is entered into, effective on <br />_________________________ ("Effective Date"), between Prime Health Services, Inc. <br />("PHS"), a Tennessee corporation, and Orange County Sheriff’s Office (“SHERIFF”), located <br />in the State of North Carolina. PHS and SHERIFF each may be referred to as a “Party” and <br />collectively as the “Parties.” <br /> <br /> WHEREAS, PHS provides cost containment services to the corrections industry and has <br />established and manages a preferred provider organization (PPO) network of medical providers <br />for the correctional health care industry; and <br /> <br /> WHEREAS, SHERIFF requests the cost containment services of PHS when arranging <br />certain off-site health care services for SHERIFF’s incarcerated members for which SHERIFF <br />will reimburse PHS based on the fees described herein for network access and cost containment <br />services; <br /> <br /> NOW, THEREFORE, in consideration of the terms and conditions set forth herein, the <br />receipt and sufficiency of which are hereby acknowledged, PHS and SHERIFF agree as follows: <br /> <br />1.0 DEFINITIONS <br /> <br />1.1 “Billed Charges” means the fees, rates, and charges billed by providers for their <br />provision of medical or health care services before any discounts and adjustments are made. <br /> <br />1.2 “Compensable Services” means the health care services that Covered Persons are <br />entitled to receive through Participating Providers according to applicable law and as explained <br />under the terms of this Agreement. <br /> <br />1.3 “Covered Person” means a person entitled to Compensable Services. <br /> <br />1.4 “EOB” or “EOB Summary” means the form generated after a claim is repriced and <br />discounts are applied, which is sent to SHERIFF and providers for their records and to establish <br />the amount that is due for the services rendered. <br /> <br />1.5 “Participating Provider” means a provider who has a contractual relationship with <br />PHS or a contracted physician group to provide Compensable Services to Covered Persons. <br /> <br />2.0 RESPONSIBILITIES OF PHS <br /> <br />2.1 Services Provided by PHS. PHS will provide cost containment services to <br />SHERIFF based on SHERIFF’s needs. These services include: access to PHS’s correctional PPO <br />network; discount negotiation services; scrubbing; claims repricing; and EOB generation. <br /> <br />2.2 Reporting.
