Associated Industries Insurance Company, Inc. <br /> 800 Superior Avenue <br /> Cleveland, OH 44114 <br />CYS 0122 21 <br />Other Insurance / Indemnification <br />Coverage under this Policy is provided only as excess over any other more specific valid and collectible <br />insurance, including any self-insured retention or deductible thereof unless such other insurance is written <br />only as specific excess insurance over this Policy and the Aggregate Limit of Liability. <br />Interpretation <br />The descriptions in the headings and titles of this Policy are solely for reference and convenience and do <br />not lend any meaning to this Policy. <br />Rights of Third Parties <br />Unless otherwise mandated by law, this Policy does not confer a directly enforceable benefit or right to <br />enforce any term of this contract upon any Third Party. <br />Assignment <br />The Insured will not be entitled to assign this Policy nor any interest or right under the Policy without the <br />Insurer’s written consent. <br />Sanctions/Embargoes <br />The Insurer will not be deemed to provide cover and the Insurer will not be liable to pay any Loss or <br />provide any benefit hereunder to the extent that the provision of such cover, payment of such Loss or <br />provision of such benefit would expose the Insurer to any sanction, prohibition or restriction under United <br />Nations resolutions or the trade or economic sanctions, laws or regulations of the United States. <br />Territory <br />Coverage under this Policy applies anywhere in the world unless such coverage is not legally permitted. <br />Choice of Law <br />Any dispute concerning the interpretation of this Policy will be governed by the laws of the state designated <br />in the Declarations. <br />Service of Suit <br />Service of process for any suit instituted against the Insurer concerning this Policy may be made upon the <br />Superintendent, Commissioner, or Director of Insurance or other person specified for that purpose in the <br />statute or his/her successor or successors in office as their true and lawful attorney upon whom may be <br />served any lawful process in any action, suit, or proceeding instituted by or on behalf of the Insured or any <br />beneficiary hereunder and arising out of this Policy. <br />The Insurer has designated: <br />Mr. Stephen Ungar, Secretary <br />Associated Industries Insurance Company <br />59 Maiden Lane, 43rd Floor <br />New York, NY 10038 <br />as the person(s)/organization to whom the Superintendent, Commissioner, or Director of Insurance or other <br />specified person is authorized to mail such process or a true copy thereof, in compliance with the applicable <br />statutes governing said service of process in the state or jurisdiction in which a cause of action under this <br />Policy arises. <br />DocuSign Envelope ID: ED55B3D5-BAD0-45B4-977B-F09C4091C16A
