Associated Industries Insurance Company, Inc. <br /> 800 Superior Avenue <br /> Cleveland, OH 44114 <br />CYS 0122 13 <br />Rewards means the reasonable amount paid by the Company, up to $50,000, to an informant for <br />information not otherwise available that leads to the arrest and conviction of a person responsible for a <br />Cyber Event (other than the informant). <br />Securities means negotiable or nonnegotiable instruments or contracts representing either Money or <br />property. <br />Securities does not include Money. <br />Subsidiary means any entity that the Company, either directly or indirectly: <br />(A) controls the composition of the board of directors; <br />(B) holds more than 50% of the voting shares; or <br />(C) holds more than 50% of the issued share capital. <br />For any Subsidiary or any Insured Person thereof, cover under this Policy will only apply to an incident <br />or event that occurs and is Discovered, while such entity is a Subsidiary. <br />Supplier means any Third Party that provides products or services to the Company pursuant to a written <br />contract. <br />Supplier Cyber Attack means an intrusion into or unauthorized access or use of any Computer System <br />operated by a Supplier or, any unauthorized modification, destruction, deletion, distribution or transmission <br />or copying of, or rendering inaccessible, electronic data or software or consumption of computer resources <br />of such Computer System, by any means, including, but not limited to, denial of service attacks. <br />Supplier Failure means any unintentional and unplanned interruption, other than an interruption caused <br />by a Cyber Attack, of any Computer System operated solely by a Supplier. <br />Supplier Interruption Event means any Supplier Cyber Attack or Supplier Failure. <br />Supplier Interruption Loss means any Loss of Profit sustained by the Company and any Extra <br />Expense. <br />Supplier Interruption Loss will not include any: <br />(A) loss resulting from the suspension, cancellation, or lapse of any lease, contract, license or orders; <br />(B) liabilities to any third parties; <br />(C) legal expenses or costs; <br />(D) consequential loss; <br />(E)Data and System Recovery Costs; or <br />(F)Business Interruption Loss. <br />Telephone Fraud means toll and line charges incurred by an Insured solely as a result of a fraudulent <br />infiltration and manipulation of a Company’s telephone system from a remote location to gain access to <br />outbound long-distance telephone service. <br />Third Party means any natural or legal person except any Insured. <br />DocuSign Envelope ID: ED55B3D5-BAD0-45B4-977B-F09C4091C16A
