Multiple Losses arising from Related Events will be considered a single Loss <br />for the purposes of this Policy. <br />Reputation Event means publication by someone other than an Insured of previously non-public <br />information specifically concerning a Cyber Event or Ransom Threat. <br />Reputation Loss means: <br />(A) The net operating profit (before interest and tax) that the Company would have earned during the <br />Reputation Period had the Reputation Event not occurred; plus <br />(B) the Company’s usual and regular operating expenses to the extent that such operating expenses must <br />continue during the Reputation Period. <br />Reputation Loss will not include any: <br />(1) loss resulting from the decision of the Company to suspend, cancel or lapse of any lease, <br />contract, license or orders; <br />(2) liabilities to any Third Party; <br />(3) legal expenses or costs; <br />(4) consequential loss or loss incurred as a result of unfavorable business conditions; <br />(5)Data and System Recovery Costs; <br />(6) loss resulting from a complete or partial interruption or any slowdown of the operations of the <br />Company for any period of time; or <br />(7)Ransom Payments. <br />Reputation Period means the period beginning on the date the Reputation Event occurs, and ends after <br />the earlier of: <br />(A) 180 days; or <br />(B) the date that gross revenues are restored to the level they would have been but for the Reputation <br />Event. <br />Retention means the applicable amount(s) listed in Item 7. of the Declarations. <br />DocuSign Envelope ID: ED55B3D5-BAD0-45B4-977B-F09C4091C16A
