<br />Company means the Policyholder and any Subsidiary.
<br />Company Computer System means any Computer System under the operation or control of, and either
<br />owned or leased by, a Company.
<br />Computer System means any hardware, software, and firmware used to provide or host computer
<br />application services to:
<br />(A) create, manage, automate, integrate, interpret, control, process, eliminate, modify, store, retrieve,
<br />secure or exchange information; or
<br />(B) create, manage, steer, modify, store, retrieve, secure, analyze, control, or monitor industrial
<br />operations.
<br />Confidential Information means any information of a Third Party held by, or in the care, custody, or
<br />control of the Insured:
<br />(A) that is subject to any confidentiality agreement or confidentiality provision in a contract or agreement
<br />between the Third Party and the Company; or
<br />(B) that the Company is legally required to maintain in confidence, other than:
<br />(1)Personally Identifiable Information; or
<br />(2) any information that is lawfully available to the general public or lawfully in the public domain.
<br />Continuity Date means the applicable date in Item 5. of the Declarations.
<br />Cryptojacking means the unauthorized access or use of any Company Computer System to mine for
<br />digital currencies that directly results in additional costs incurred by the Company for electricity, natural
<br />gas, oil, or internet.
<br />Cyber Attack means an intrusion into, unauthorized access or use of any Company Computer System
<br />or, any unauthorized modification, destruction, deletion, distribution or transmission or copying of, or
<br />rendering inaccessible, electronic data or software or consumption of computer resources of such
<br />Company Computer System, by any means, including, but not limited to, denial of service attacks. Cyber
<br />Attack includes an unauthorized distribution or transmission of malicious code or virus from the Company
<br />Computer System to the Computer System of a Third Party.
<br />Cyber Attack also means the loss of use of all or part of a Company Computer System caused by
<br />a Third Party’s reprogramming of software, including firmware, which renders such Company
<br />Computer System, or any component thereof, useless, unusable, or ineffective with respect to its
<br />intended purpose.
<br />Cyber Deception means any:
<br />(A)Fraudulent Instruction;
<br />(B)Funds Transfer Fraud; or
<br />(C)Telephone Fraud.
