D. <br />E. <br />Subscriber shall respond to any consumer disputes initiated by consumer within five (5) working days from <br />receipt of dispute.  Subscriber shall re-verify disputed information through either voice communication, electronic <br />mail, or through other means as mutually agreed in writing. Subscriber certifies that all information supplied by it <br />on any automated or manual basis in response to a consumer dispute verification request sent to it by ONLINE <br />shall be complete and accurate. If in response to a consumer dispute verification request received from <br />ONLINE, Subscriber desires to change any information relating to an account it has previously reported, <br />Subscriber shall update the account information on both the verification response and in its own internal records <br />to conform to such change. Subsequent customer record updates provided by Subscriber shall reflect such <br />change. <br />Subscriber has the option to report all occurrences of delinquent payments to ONLINE; any evictions <br />proceedings initiated against tenants, any evictions completed; and any property damage and the amount of <br />said damage caused by tenants of Subscriber.  It is also agreed that this information may be shared with other <br />Subscribers. <br />12.Term and Termination.   <br />A. <br />B. <br />C. <br />D. <br />This Agreement is for a period of 12 months from the effective date and will automatically renew annually unless <br />terminated by either party with a 10 day written notice.  <br />Notwithstanding the foregoing, if Subscriber is delinquent in the payment of charges, violates the FCRA or other <br />applicable law or violates a material term of this Agreement, ONLINE may, at its election, discontinue providing <br />the Services to Subscriber and terminate this Agreement immediately by written notice to the Subscriber. <br />Notwithstanding anything to the contrary in this Agreement, if the continued provision of the Services or any <br />affected component thereof becomes impossible, impractical, or undesirable due to a change in applicable <br />federal, state, or local laws or regulations, as determined by ONLINE in its reasonable judgment, or due to <br />circumstances imposed by ONLINE’s third party vendors or Data Providers, ONLINE may either (a) cease to <br />provide the Services or any affected component thereof within, or pertaining to persons residing within, the <br />affected jurisdiction, or (b) establish new prices which apply to ONLINE’s Services or any affected component <br />thereof when provided or delivered within, or pertaining to persons residing within, the affected jurisdiction, <br />which prices will be reasonably calculated to cover the costs incurred by ONLINE in complying with the <br />applicable laws or regulations or circumstances imposed by third party Data Providers and will become effective <br />on the date specified in such notice unless Subscriber objects in writing, in which case ONLINE may exercise its <br />rights under clause (a) above. ONLINE will attempt to provide written notice of its actions as far in advance of <br />the effective date as reasonably possible under the circumstances. <br />No Damages or Indemnification for Termination.
