The <br />Agreement shall be binding upon the parties, their successors, legal representatives, and <br />assigns, and it is a mutually understood and expressly agreed that this Agreement shall be <br />construed and interpreted according to the laws of the State of Florida. <br /> <br /> <br />EXCEPT AS PROVIDED HEREIN, THERE ARE NO OTHER WARRANTIES, EXPRESSED OR IMPLIED, <br />INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OR MERCHANTIBILITY OF FITNESS <br />FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL CONTRACTOR BE LIABLE FOR ANY <br />CONSEQUENTIAL, INCIDENTAL, INDIRECT OR SPECIAL DAMAGES OF ANY KIND UPON THE <br />CLAIMED BREACH OF ANY OBLIGATION CONTAINED IN OR ARISING OF THIS AGREEMENT. <br />NOTWITHSTANDING THE FOREGOING, SUCH LIMITATION ON LIABILITY SHALL NOT APPLY FOR, <br />AND CONTRACTOR SHALL HOLD HARMLESS, DEFEND AND INDEMNIFY CLIENT AND ITS <br />OFFICERS, DIRECTORS, AGENTS, EMPLOYEES, AFFILIATES AND SUCCESSORS AND ASSIGNS <br />FROM, ALL LOSSES, DAMAGES, LIABILITIES, CLAIMS, ALLEGATIONS, DEMANDS, SUITS AND <br />EXPENSES, INCLUDING BUT NOT LIMITED TO REASONABLE ATTORNEYS’ FEES AND COSTS, <br />ARISING OUT OF OR RESULTING FROM: (I) CONTRACTOR’S BREACH OF THIS AGREEMENT <br />(INCLUDING ALL REPRESENTATIONS AND COVENANTS) BY CONTRACTOR, (II) THE GROSS <br />NEGLIGENCE OR WILLFUL MISCONDUCT OF CONTRACTOR, (III) ANY VIOLATIONS OF APPLICABLE <br />LAW BY CONTRACTOR, (IV) CONTRACTOR’S FAILURE TO PAY WAGES TO ITS EMPLOYEES, OR (V) <br />CONTRACTOR’S FAILURE TO SECURE VALID WORKERS’ COMPENSATION COVERAGE AS <br />REQUIRED BY LAW. <br />DocuSign Envelope ID: 383A1746-7EDE-4608-95EC-6535FF087317
