(b)Client shall provide consolidated feedback and requested approvals in a timely manner,and in <br />any event no later than 48 hours from Agency’s request,unless otherwise provided herein or <br />agreed to from time to time in writing between the parties. <br />(c)Client shall promptly provide Agency with access to any existing content,assets,research,brand <br />guidelines,style guides,policies,data,licenses,and other accounts or systems as reasonably <br />required for Agency to provide the services hereunder. <br />(d)Client understands and agrees that this SOW does not include license rights for any third party <br />content,such as,without limitation,music,animations,talent,stock photos,etc.Agency will <br />provide pricing,scope,and usage quotes for such third party licenses,for Client approval prior to <br />incurring the fee.Client will be bound by any and all such third party licenses which it has <br />approved. <br />(e)This scope covers producer time and management but does not take into account extraneous hard <br />production costs. <br />(f)Pre-approved expenses will be billed to Client at Agency’s cost without mark-up. <br />(g)Agency is not providing legal,medical,or privacy disclaimers or notices;Client shall provide all <br />of the foregoing. <br />7.JURISDICTION OF CHOICE <br />These terms and conditions,and any dispute or claim arising out of or in connection with them or this <br />Agreement (including non-contractual disputes or claims),shall be governed by and construed in <br />accordance with the laws of the State of California,United States of America,without regard to its <br />conflict of laws provisions.Any dispute,controversy or claim arising out of or in relation to this <br />agreement,including the validity,invalidity,breach,or termination thereof,shall be resolved by <br />arbitration in California under the rules of the American Arbitration Association then in force.The award <br />of the arbitrator shall be final and binding,and judgment on the award may be entered in any court having <br />jurisdiction thereof. <br />8.APPROVALS <br />Client:Visit Chapel Hill <br />Laurie Paolicelli Executive Director <br />Printed Name Signature Date Title <br />Agency:Circle Park LLC <br />Asher Bykov Chief Operating Officer <br />Printed Name Signature Date Title <br />DocuSign Envelope ID: CAC818ED-DF6E-4D68-940B-D695AFCF3A68
