(d)Search Engine Optimization (SEO):SOW does not include SEO services such as keyword <br />research,on-page optimization,or off-page optimization.If the client requires SEO services,it <br />would be considered out of scope. <br />(e)Print or Traditional Media Advertising:SOW focuses on digital media production,social media <br />management,and ad channel management for platforms like YouTube.SOW does not cover <br />requests for print or traditional media advertising services. <br />(f)Public Relations (PR)Services:SOW does not include any PR-related services,such as press <br />release distribution,media relations,or reputation management. <br />4.ESTIMATED TIMELINE &TERMINATION <br />A detailed timeline will be laid out per project upon signature and kick-off. <br />This SOW is cancellable by either party within a minimum of 15 days notice except for the case of <br />reasonable cause.Notwithstanding the foregoing,in the event this SOW is terminated early,Client shall <br />pay Agency half (50%)of the outstanding balance for its service fees hereunder,and Client agrees to <br />honor all termination provisions of Agency’s subcontractors,if any,including without limitation any <br />non-cancellable commitments thereof. <br />5.COSTS AND PAYMENT TERMS <br />Agency’s service fee for this SOW is $7,500 (seven thousand five hundred dollars),which shall be paid in <br />accordance with the following payment schedule: <br />●$7,500 invoiced September 1,2023,due 30 days from receipt of invoice <br />●A minimum of $1,000 will be spent on advertising spend through Visit Chapel Hill’s Ad Manager <br />EXPENSED DESCRIPTION COST <br />Pre-Production Research,contact,and vet interviewees for 4 <br />mini-documentary video assets $1,000 <br />Production Film production crew for 4 video assets $1,500 <br />Post-Production Editing,sound design,color grading,and motion <br />graphics for 4 video assets $3,000 <br />YouTube Ad Channel Management Develop,execute,and monitor targeted advertising <br />strategy on Instagram and Facebook (Meta)$2,000 <br /> MONTHLY TOTAL $7,500 <br />While the Agency is charging a flat fee under this section,the parties agree that the Agency shall not be <br />required to bill on an hourly rate but will send a detailed report of actionable tasks related to projects. <br />6.IMPORTANT ASSUMPTIONS <br />The parties enter into this SOW under the following assumptions and Client responsibilities.Client <br />understands and agrees that delays or additional costs may result in the event these assumptions cannot be <br />met,or responsibilities not carried out in a timely manner. <br />(a)Client shall designate a project manager or single point of contact that will be responsible for <br />communications with Agency and directing Client’s internal personnel.Client shall also be <br />responsible for managing and directing any Client third party partners,vendors,or agencies. <br />DocuSign Envelope ID: CAC818ED-DF6E-4D68-940B-D695AFCF3A68
