DRAFT
24 We identified several issues that we now have to resolve
25
26 1) at large vs alternate
27
28 At Large members are fully empowered board members who do not represent a specific township
29
30 Alternate members are those who vote when the regular member for a township cannot attend.
31
32 Which do we want?
33
34 2a) can virtual voting be accepted and would not someone have to be able to vote in order to be
35 counted toward quorum
36
37 2b) or should we require in person attendance to vote and to be counted toward quorum
38
39 3) attendance rule - suggested that three unexcused absences shall be considered a resignation from the
40 board
41
42 Composition Scenarios:
43
44 A. Before August 2022 - 14 voting members: 7 from townships and 7 for interests/skills, which is the
45 same as "at large." Quorum was 8 and meetings long since a lot of members needed to speak.
46
47 B. Since August 2022 - 7 voting members from townships, 7 alternates selected at large. Quorum 4
48 voting members; alternates don't count. No process for when alternates could vote nor which ones.
49
50 C. Possible alternative - 7 voting members from townships, 7 alternates selected from townships.
51 Quorum would be voting member or alternate from 4 different townships. Alternates vote and count
52 toward quorum when voting member from that township cannot attend.
53
54 D. Possible alternative - 7 voting members from townships, no alternates. Quorum of 4 members.
55
56 E. Possible alternative - 7 voting members from townships, 3 voting at large members, 4 alternates who
57 vote and count toward quorum only when a voting member is absent; Quorum of 6 members.
58
59 Draft proposal 1:The OUTboard shall consist of seven voting members, one from each township.
60 Quorum will be four members present at an in person meeting. Virtual participants may not vote nor
61 count toward quorum. Any member who accumulates three unexcused absences will be considered to
62 have resigned from the OUTboard.
63
64 Draft proposal 2: The OUTboard shall consist of seven voting members, one from each township, and
65 seven alternate members, one from each township. An alternate member will vote and count toward
66 quorum when the voting member for that township is absent. Quorum will be a voting or alternate
67 member from at least 4 different townships present at an in person meeting. Virtual participants may
68 not vote nor count toward quorum. Any member who accumulates three unexcused absences will be
69 considered to have resigned from the OUTboard.
2
