Revised 04/23 NORTH CAROLINA CONTRACT AMENDMENT ORANGE COUNTY THIS CONTRACT AMENDMENT (“Amendment”) is made and entered into this 2nd day of July 2023 by and between ORANGE COUNTY (hereinafter referred to as “County”) and MBP Facility Solutions, LLC. (hereinafter referred to as “Provider”). WITNESSETH: THAT WHEREAS, the County and Provider entered into a contract dated September 28, 2022, (hereinafter the “Original Agreement”), for the provision of services for Retro-Commissioning Services for 510 Meadowlands Drive, Hillsborough NC, 27278; and WHEREAS, the County and Provider desire to amend the Original Agreement while keeping in effect all terms and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to amend the Original Agreement as follows: 1. In order to ensure the completion of the Services identified in the term of the Original Agreement is amended to reflect an end date by which all Services shall be completed of October 31, 2023. 2. Exhibit A to the Original Agreement is amended by adding the following tasks and services to the Services to be provided by the Consultant: Provide additional services to verify the implementation of corrective actions as recommended by MBP Carolinas, Inc., to prevent exhaust fumes from entering the building via the dedicated outdoor air system intake during the operation of the building’s emergency power systems (diesel generator). Additionally, MBP-FS will provide commissioning services to verify the operation of the Trane units (supplemental) that have recently been connected to the building automation system (BAS) by Siemens. MBP will subcontract with Absolute Glass Inc. and HPBS to complete the scope of work. The scope of work for the project includes the removal of two windows on the northwest corner of the building (level one) that have previously been subjected to testing by HPBS. MBP will update the Final Commissioning Report to include the results of this inspection and recommendations for corrective actions if any defects are identified. 1. Article 5, Section “a” is amended to reflect a maximum payable not-to-exceed amount of Sixty-Eight Thousand, Five Hundred Dollars ($68,500.00). 2. Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent it is not inconsistent with this Amendment. In the event there is a conflict between the terms of the Original Agreement and the terms of this Amendment, this Amendment shall control.
