<br /> 2 <br /> <br />PAYMENT TERMS: <br /> <br />Payment due in full 30 days from date of invoice. <br /> <br />RECURRING FEES <br />a. The Annual Access Fee is due: on the Execution Date, and annually thereafter on the anniversary of the <br />Execution Date. <br />b. Commencing one year after Go Live, the “Anniversary Date”, the Annual Software Maintenance Fee will be due <br />for CentralSquare support and maintenance. Thereafter, on the Anniversary Date, Annual Software <br />Maintenance Fees will be due on or before the commencement of the subsequent renewal term. <br />c. <br /> <br />ANCILLARY FEES <br />a. Reimbursement of travel and living expenses will be governed by Exhibit 3 (“Travel Expense Guidelines”) <br />attached hereto and will be invoiced monthly in arrears and due within thirty (30) days from date of invoice. <br />b. Customer is responsible for paying all taxes relating to this Agreement upon written approval by Customer. <br />Applicable tax amounts (if any) are not included in the fees set forth in this Agreement.
