Revised 06/21 <br />3 <br />3.Basic Services <br />a.Basic Services. The Services to be rendered pursuant to this Agreement are as follows <br />(fully describe services to be provided): Local Palate will create an Explore Chapel Hill <br />City Guide that will live in the travel section on the Local Palate website. Explore <br />Chapel Hill can submit (3) articles over two-months to populate this section. These <br />articles will live indefinitely in this section. In addition, the Local Palate will also <br />populate this section with “new” content (up to 4 articles) from the following list of <br />potential topics; Eat & Drink, Recipes, See & Do, and History & Culture. Local Palate <br />will also include previously written articles in this section to round out the content. A) <br />componants: 1) PRINT: 2-page travel spread published in the issue: Fall Road Trips SIP <br />2023. 2)DIGITAL: City Guide will be featured on the travel section home page of <br />TLP.COM for (60) days and then become permanent in this section. 7+ articles will <br />populate this section (TLP will add (1) article every other week over two-months to this <br />section. and 3) E-NEWSLETTER: (1) sponsored e-newsletter will run highlighting <br />places to Eat & Drink & See & Do in Chapel Hill which will run the same month as 2- <br />page travel spread. <br />4.Duration of Services <br />a.Term. The term of this Agreement shall be from March 27, 2023 to December 31, <br />2023. <br />b.Scheduling of Services. <br />i)The Provider shall schedule and perform its activities in a timely manner. <br />ii)Should the County determine that the Provider is behind schedule, it may require <br />the Provider to expedite and accelerate its efforts, including providing additional <br />resources and working overtime, as necessary, to perform its services in <br />accordance with the approved project schedule at no additional cost to the <br />County. <br />iii)The Commencement Date for the Provider's Basic Services shall be March 2023. <br />5.Compensation <br />a.Compensation for Basic Services. Compensation for Basic Services shall include all <br />compensation due the Provider from the County for all services satisfactorily (as <br />determined by the County) performed pursuant to this Agreement. The maximum <br />amount payable for Basic Services shall not exceed Twenty Five Thousand and xx/100 <br />Dollars ($25,000.00). Payment for satisfactorily performed Basic Services shall become <br />due and payable within thirty (30) days of Provider properly invoicing County. Payment <br />shall be subject to provisions of Section 5(b). <br />b.Disputes. In the event the amount stated on an invoice is disputed by the County, the <br />County may withhold payment of all or a portion of the amount stated on an invoice <br />until the parties resolve the dispute. Should Provider fail to perform its duties under the <br />terms of this Agreement, County may, without fault or penalty, withhold any payment <br />associated with the work to be performed until such time as said work is completed. <br />DocuSign Envelope ID: 532D6F36-B855-4242-B7FA-5D705D7690CF
