2.PREMISES. In consideration of the payment of the Monthly Fee and the performance by Licensee of the terms contained in <br />this Agreement, County hereby grants Licensee non-exclusive access to and use of the Premises, as described in Paragraph <br />1(c) above, and common areas effective on the Commencement Date. County may, at its option, alter the configuration of <br />the Premises from time to time, without reduction or offset of the Monthly Fee obligation, provided that any such <br />alteration shall not reduce the total area of the Premises. Licensee shall have no claim or right against County as a result of <br />any such alteration. <br />3.TERM AND TERMINATION. The term of this Agreement is the Term (as defined in Paragraph 1(e) above; provided, <br />however, that the Term may be extended for not more than two (2) successive one-year periods (each, an “Extension <br />Period”) provided with regard to each Extension Period, (i) Licensee provides County at least 30 days’ prior notice of its <br />desire to extend the Term through such Extension Period, (ii) County consents to such Extension Period, and (iii) County and <br />Licensee agree to the amount of the Monthly Fee applicable to this Extension Period prior to the commencement of such <br />Extension Period, County reserving the right to modify the Monthly Fee for each Extension Period prior to the <br />commencement thereof. If the Premises is not available to Licensee on the Commencement Date, this Agreement shall not <br />be void or voidable, no obligation of Licensee shall be affected thereby, and neither County nor County’s agents shall be <br />liable to Licensee for any loss or damage resulting therefrom; provided, however, that in such event, the actual <br />Commencement Date and all other dates affected thereby shall be revised to conform to the date the Premises are made <br />available to Licensee. <br />County may terminate this Agreement upon any default or breach by Licensee. County may terminate this Agreement for <br />its convenience upon reasonable notice to Licensee. <br />4.USE. Licensee shall only use the Premises as a workshop facility for the creation or production of hand-crafted artistic or <br />decorative goods; provided further, in no event may Licensee make use of the Premises in any way that is in violation of any <br />governmental laws, rules, or regulations, whether now existing or hereafter enacted, insofar as they might relate to <br />Licensee’s use of the Premises. Licensee may not make any alterations or improvements to the Premises. Licensee shall not <br />disturb the use and enjoyment of the Studios by any other Licensee, occupant, or user or of any other part of the building in <br />which the Studios are located. Licensee may not use the Studios for any inappropriate or unlawful activity including <br />obscenity and use of material protected by intellectual property laws. <br />The Licensee shall have completed the County's review process for a studio space and maintain a high level of artistic <br />standards. Licensee agrees to engage in some of the following ways (or as may otherwise be agreed to by the Director of <br />the Orange County Arts Commission (“OCAC”)): <br />•Commit to regular use of the studio <br />•Commit to participating in monthly Open Studio Receptions <br />•If applicable, create videos/posts that can be shared on OCAC’s social media platforms <br />•Actively share and promote OCAC social media posts <br />•Serve as a liaison for visiting artists <br />•Teach a workshop or class (paid pursuant to a separate written agreement between Licensee and County) <br />•Share photo/video documentation of events at the Eno Mill Studios <br />•Volunteer specific skills/resources for installation and building prep <br />If Licensee anticipates being absent from the Studio or unable to use the Studio for a significant period of time, and <br />Licensee wishes to allow another Licensee to use the Studio or wishes to make other arrangements to address the absence, <br />then Licensee will notify the Director of the OCAC. Licensee and the Director of the OCAC will work together in an effort to <br />determine appropriate arrangements to address the absence. <br />If the Premises is to be accessed by more than one Licensee, then each Licensee accessing the Premises must sign this <br />Agreement, and all provisions of this Agreement shall apply to each Licensee. <br />5. MONTHLY FEES. Licensee agrees to pay to County at the address specified in Paragraph 1(b), the monthly fees as stated in <br />Paragraph 1(h) without any prior notice or demand and without any deduction whatsoever. The monthly fees shall be paid <br />in advance on a monthly basis, on or before the first day of each month of the Term, except that the first installment of the <br />monthly fees shall be paid by the Licensee to County prior to the Commencement Date.
