Revised 06/21 <br />3 <br />design adjustments to the extent such are necessary to obtain prices within the <br />approved total project cost. All activity of the Provider with respect to these <br />matters shall constitute Basic Services and shall be performed by the Provider <br />without additional compensation. If negotiation and design adjustments fail to <br />bring costs within the total project cost the County may reject all bids and <br />Provider will redesign or reduce portions of the project in an effort to reduce the <br />bid prices to within the total project cost and rebid the project. One such redesign <br />is included within Basic Services. If this second letting for bids does not produce <br />bids that are within the approved total project cost initially or after negotiations <br />with the contractor the cost is not reduced to an amount within the total project <br />cost, the Provider is not obligated to engage in further redesign. <br /> <br />3. Basic Services <br /> <br />a. Basic Services. The Services to be rendered pursuant to this Agreement are as follows <br />(fully describe services to be provided): Transplanting Traditions Community Farm <br />(TTCF) will use funds from the Orange County Food Council to support TTCF's food <br />access programs. This will include paying TTCF farmers fairly and directly for foods <br />grown for programs that will distribute these fresh foods to some of the most food <br />insecure parts of our community. TTCF will be responsible for overseeing the use of <br />these funds and will provide a written report to the Orange County Food Council and <br />County Managers' Office at the end of the growing and distribution season. The season <br />begins in May and ends in October. The final written report will be provided by the end <br />of October 2023. Any foods distributed by TTCF must meet the specifications in the <br />Community Expert recommendations outlined in the 2022 Community Food Access <br />Report - specifically that foods should be culturally appropriate and of high quality and <br />should increase access to fresh foods to those experiencing food insecurity. Services <br />provided by TTCF in this agreement will include: 1) working with refugee and <br />immigrant farmers to grow fresh foods for their Share a Share program, 2) helping <br />farmers distribute fresh, culturally appropriate foods to impacted communities, and 3) <br />providing the Food Council/County with a report that describes how the funding was <br />used and the relevant food access impacts. <br /> <br />4. Duration of Services <br /> <br />a. Term. The term of this Agreement shall be from December 2022 to October 2023. <br /> <br />b. Scheduling of Services. <br />i) The Provider shall schedule and perform its activities in a timely manner. <br /> <br />ii) Should the County determine that the Provider is behind schedule, it may require <br />the Provider to expedite and accelerate its efforts, including providing additional <br />resources and working overtime, as necessary, to perform its services in <br />accordance with the approved project schedule at no additional cost to the <br />County. <br /> <br />iii) The Commencement Date for the Provider's Basic Services shall be March 1, <br />2022. <br /> <br />DocuSign Envelope ID: BAB0C843-5B69-4859-89C8-FA04BBD5D503
